국문 초록

전 세계적으로 ESG 경영이 확산되면서, 정보 공시의 중요성이 더욱 부각되고 있다. 특히 ISSB, CSRD, SEC 등 글로벌 3대 ESG 공시기준이 확정되면서 기업들은 새로운 공시 체계에 적응해야 하는 과제에 직면했다. 국내에서도 KSSB 공시기준이 마련되었지만, 기업들은 복잡한 기준과 불확실성 속에서 어려움을 겪고 있다. 본 연구는 이러한 상황에서 기업이 직면한 회사법적 과제를 심층적으로 분석하고, ESG 공시기준이 기업 지배구조에 미치는 영향을 살펴보았다. 기존의 주주 중심주의에서 벗어나 이해관계자주의, 나아가 생태계 지속가능성을 고려하는 경영 패러다임으로의 전환이 요구되고 있으며, 이러한 변화는 기업의 목적과 이사의 책임에 근본적인 변화를 가져오고 있다. 본 연구는 다음과 같은 주요 논점을 다루고 있다. 먼저, 글로벌ESG 공시기준의 전개 현황을 살펴보고, 국내의 공시기준을 분석하였다. 나아가 ESG 경영이 기업의 목적과 이사의 책임에 미치는 영향을 논의하고, 주주 중심주의에서 이해관계자 중심주의, 생태 경영이념으로의 패러다임 전환의 필요성을 강조하였다. 특히ESG 공시기준 확정에 따른 회사법적 이슈를 살펴보고, 기업이 이러한 과제에 효과적으로 대응하기 위한 방안을 제시한다. 마지막으로 ESG 정보 공시 제도의 성공적인 안착을 위해 정부가 수행해야 할 역할을 강조하고, 정부 주도의 지원 시스템 구축의 필요성을 제기했다.

영문 초록

As ESG management becomes increasingly prevalent worldwide, the importance of information disclosure has grown significantly. The establishment of global ESG disclosure standards, such as those set by ISSB, CSRD, and SEC, has presented corporations with the challenge of adapting to new disclosure systems. Even though Korea has introduced KSSB disclosure standards, businesses continue to face difficulties due to the complexity and uncertainty of these standards. This study delves into the corporate governance challenges faced by companies in this context and examines the impact of ESG disclosure standards on corporate governance structures. It argues that a paradigm shift from shareholder primacy to stakeholder capitalism, and further towards eco-centric management, is necessary. This shift will fundamentally alter corporate objectives and directorial responsibilities. The key points addressed in this study include: an overview of the development of global ESG disclosure standards and an analysis of domestic standards; a discussion of the impact of ESG management on corporate objectives and directorial responsibilities, emphasizing the need for a paradigm shift from shareholder primacy to stakeholder capitalism and eco-centric management; an examination of corporate law issues arising from the establishment of ESG disclosure standards, and the proposal of solutions for companies to effectively address these challenges; and a highlight of the government's role in ensuring the successful implementation of ESG disclosure systems, emphasizing the need for government-led support systems.
