농업회사법인의 조직변경에 대한 고찰

국문 초록

농업회사법인은 농업을 활성화시키고 있고, 국민 건강을 증진시키고, 수출까지 하는등 국가경쟁력 강화에 기여하고 있다. 농업회사법인의 수가 2022년 기준, 2021년 대비 1,835개 증가하였다(12.9% 증가). 이러한 농업회사법인은 국가 및 지방자치단체의 지원과 세금 감면의 혜택이 있는 대신에, 농어업경영체법에 있는 사업범위대로 영업을 하여야 된다. 조직변경을 통하여, 시간과 비용을 줄여서 조직의 효율성이 제고될 수 있다. 농어업경영체법은 조합원이 유한책임인 영농조합법인이 주식회사, 유한회사, 유한책임회사, 합명회사 또는 합자회사인 농업회사법인으로 조직변경되는 것을 허용한다. 그러나 농어업경영체법에 따르면, 농업회사법인이 영농조합법인으로 조직변경 될 수 없다. 생각건대, 아래와 같은 점들을 볼 때, 주식회사, 유한회사, 유한책임회사인 농업회사법인이 영농조합법인으로 조직변경 되면 좋을 것이다. 첫째, 상법은 주주 또는 사원이유한책임을 지는 물적회사(주식회사, 유한회사, 유한책임회사) 사이의 조직변경을 허용하고 있다. 둘째, 농어업경영체법 제18조 제1항은 조합원 및 준조합원이 유한책임을지는 영농조합법인이 주주나 사원이 유한책임 또는 무한책임을 지는 5종류의 회사인농업회사법인으로 조직변경 될 수 있다고 규정하고 있다. 셋째, 상법에 따라 설립된유한책임회사, 주식회사, 유한회사 및 그 밖에 다른 법령에 따라 설립된 영리법인은소속 구성원 전원의 동의에 따른 총회의 결의(총회가 구성되지 아니한 경우에는 소속구성원 전원의 동의를 말한다. 이하 이 조와 제105조의2에서 같다)로 이 법에 따른협동조합으로 그 조직을 변경할 수 있다(협동조합 기본법 제60조의2 제1항 전단). 즉, 사원 또는 주주가 유한책임을 지는 상법상 회사가 조합원이 유한책임을 지는, 협동조합 기본법에 따른 협동조합으로 조직변경 될 수 있다. 그리고 생각건대, 아래와 같은 점들을 볼 때, 장기적으로 합명회사, 합자회사인 농업회사법인이 영농조합법인으로 조직변경이 되면 좋을 것이다. 첫째, 회사를 둘러싼경제적, 법률적 환경의 변화로 인하여 주주 또는 사원의 책임, 기관구성, 자금조달, 세금부담 또는 신용 등과 관련하여 기존의 회사형태가 적합하지 않은 경우에, 조직변경을 이용하면 기존회사를 해산하고 새로이 회사를 설립하는 번잡함과 경제적 손실을 피할 수있다. 둘째, 총사원의 일치로 사원총회의 결의를 거치게 하고, 또한 채권자 이의절차를 거치게 하면, 합명회사, 합자회사인 농업회사법인의 영농조합법인으로의 조직변경으로 인한 부작용이 줄어들 수 있다. 이 글은 농업회사법인이 영농조합법인으로 조직변경 되어야 된다는 점과 농업회사법인의 조직변경 관련 규정의 개정 방향 등을 살펴봤다.

영문 초록

Modern society can be called the legal entity era, as the role and status of legal entities are gradually increasing in terms of not only wealth ownership but also economic and social activities and functions. In particular, the emergence and development of for-profit legal entity has brought about groundbreaking changes to the legal entity system, and the functions and roles of for-profit legal entity is becoming more profound. Since all agricultural company is company under the commercial law and is company established for profit(see article 169 of the commercial law), agricultural company is for-profit company. In return for the benefits of support from the state and local governments and tax reductions, agricultural company must conduct business within the scope of the law on fostering and supporting agricultural and fisheries business entities. Agricultural company is revitalizing agriculture, improving national health, and contributing to strengthening national competitiveness by exporting. As of 2022, the number of such law on fostering and supporting agricultural and fisheries business entities has increased by 1,835(12.9%) compared to 2021. Through organizational changes, organizational efficiency can be improved by reducing time and costs. According to the law on fostering and supporting agricultural and fisheries business entities, an agricultural partnership can be reorganized into an agricultural company, but an agricultural company cannot be reorganized into an agricultural partnership. This is not desirable because (i) it conflicts with the fact that an agricultural partnership with limited liability for its members and associate members can be reorganized into an agricultural company, (ii) it contrasts with the fact that a company under the commercial law, in which members or shareholders have limited liability under the cooperatives law, can be reorganized into a cooperative under the cooperatives law, in which members have limited liability, and (iii) reorganization in the United States, the United Kingdom, and Japan is much freer than in Korea. Therefore, this article examines the fact that an agricultural company must be reorganized into an agricultural partnership and the direction of revision of regulations related to reorganization of agricultural company.
