한국 기업의 소유구조 결정요인에 대한 실증연구

국문 초록

본 연구는 1996년부터 2000년까지 6개년을 대상으로 공정거래위원회에서 매년 지정 공표하는 대규모 기업집단의 소유구조를 분석한 것이다. 대규모 기업집단의 소유구조에 대한 자료는 공정거래위원회에서 공표한 자료를 사용하였으며, 그 외 자료는 공정거래위원회에서 공표한 명단에 기초하여 한국신용평가정보의 데이터베이스를 활용하여 산출하였다. 소유구조는 동일인 및 특수관계인 지분, 계열회사 지분으로 파악하였으며 그 결정요인으로 공개비중, 규모, 수익성, 레버리지, 다각화를 고려하였다. 통계 패키지는 AMOS 4.01을 사용하여 경로분석으로 분석하였다. 분석결과, 기업집단 규모가 크고 공개기업 비중이 높으면 대주주 지분이 낮았다. 동일인 및 특수관계인 지분이 낮거나 계열기업 수가 증가하면 계열기업 지분이 높았다. 따라서 계열기업 출자가 대규모 기업집단 확장에 영향을 미친 것을 발견할 수 있었다.

영문 초록

This paper s goal was what determined the ownership structure of top 30 conglomerate in korea. To achieve the goal, we used KFTC disclosure and KIS DB. KFTC disclosed ownership data and KIS DB had the profile and financial data. The research period included the 6-year from 1994 to 2000. we used the simultaneous equation with AMOS 4.01. The endogenous variables were the large share holder share portion and the other affiliate s companies share portion. The exogenous variables were the size, the portion of the open affiliate s companies, the profitability, the leverage ratio, the diversification. We found that the size, the portion of the open affiliated companies showed the negative relationship to the share portion of the large owner and affiliated companies. In addition, the share portion of the large owner showed the negative relationship to the affiliated companies.
