외국인투자가 기업가치에 미치는 영향

국문 초록

본 연구에서는 경영자의 활동과 기능을 효율적으로 감시하고 견제하는 주체로서 외국인 투자자의 역할을 검증하였다. 2005-2008년까지 한국증권시장의 상장기업에 대한 분석결과 외국인투자자 지분과 기업가치간 정(+)의 선형관계가 존재하였고, 비선형관계는 발견되지 않았다. 외국인 투자자지분이 증가할수록 기업가치가 커지며, 이는 외국인투자자가 경영자의 도덕적 해이를 막고, 기업의 대리인비용을 감소시키는 역할을 하고 있는 것으로 해석된다. 외국인지분과 기업가치간 내생성(endogeneity)문제를 제거하기 위해 2SLS모델을 사용해도 동일한 결과를 얻었다. 외국인 지분율과 수익성간 상호작용효과를 보면 수익성이 좋은 기업의 경우 외국인지분율의 증가는 기업가치를 증가시키는 효과가 있는 것으로 보인다. 경영자의 대리인문제 완화를 위해서 사외이사제도의 정착, 소액주주 권한보호 등의 장치가 실효를 거두지 못하고 있는 현실에서 외국인투자자가 경영자 감시역할을 할 수 있음을 보여준다.

영문 초록

This research confirmed the role of foreign investors as agents for effectively supervising and controlling the actions and roles of CEOs. According to the analysis of 2,515 (data of) listed companies in the Korea Securities Market, there existed a positive linear relationship between foreign investor equity and corporate value, and no nonlinear relationship was discovered. As foreign investor equity rises, corporate value also increased. It can be interpreted that foreign investors forestall moral hazards of executive officers, and decrease the corporate agency costs. Identical results were obtained when using the 2SLS model to eliminate the problem of endogeneity between foreign investors’ equity and corporate value. The significance of this research lies in an empirical analysis on foreign investors’ CEO supervision in the grim corporate environment in which measures such as M&A revitalization, settlement of board of directors system, and reinforcement of minority shareholders’ rights have not been effective in mitigating the agency problem of CEOs.
