대규모기업집단 규제에 관한 고찰- 상호출자 및 순환출자를 중심으로-

국문 초록

국내산업의 경쟁력은 물론이고 국제화전략으로 세계기업으로 발전하기 위해서는 기업의 대규모화는 필요하다. 그러나 기업집단 형성과정에서 소유와 지배의 괴리로 인한 지배구조의 왜곡, 기업집단을 형성한 후에는 경제력의 집중, 경쟁기반의 침해 및 독립• 중소기업과의 공정경쟁 저해 등의 부작용도 나타났다. 따라서 이 글을 통해서 대규모기업집단에 의한 경제력 집중과 시장경쟁 저해의 부작 용 방지를 위한 여러 규제 중 상호출자와 순환출자를 중심으로 상호•순환출자의 생성 원인, 상호출자금지제도, 상호출자와 환상형 순환출자의 문제점, 개선방향 및 규제의 대 안 등에 대하여 살펴보았다. 소수주주의 의결권 보호와 경영권 괴리를 차단하기 위한 선의의 규제가 오히려 주가 하락 등 일반주주의 재산상의 손실을 유발하는 등 부작용을 낳을 수 있다. 그러나 국민의 재산권을 보장하는 동시에 경제 질서의 기본을 세우기 위해서는 출자규제와 같은 강력한 구조교정 수단이 필요하다. 또한 이러한 수단은 불투명하고 복잡한 지배구조를 이용한 위법행위가 기업 자신은 물론 경제 전체에 치명적인 결과를 초래한다는 사실을 지주회사나 계열사에게 일깨워 줌으로써 주식처분에 따른 주가하락 그리고 재산권침해 와 같은 일련의 사태가 발생하는 것을 사전에 예방하는 효과가 있음을 제시하고자 하였다.

영문 초록

It is necessary getting larger in scale of company to develop global company not only competitiveness of internal industry but also internationalization strategy. However forming business groups gave rise to adverse effects such as distortion of management structure owing to alienation of management and possession, concentration after forming business groups, infringement of competition basis, hindrance of fare competition among the small and medium enterprise and so on. So in this paper examined economic concentration of large-scale conglomerate and restriction on adverse reaction to hindrance of market competition especially focusing on mutual shareholding, circular shareholding and restrictions on total amount of shareholding that is creating cause of mutual and circular shareholding, restriction for mutual shareholding and defect of mutual and circular shareholding. And then this article proposed improvement direction and alternative of regulation. Therefore, powerful structural revision like regulation of circular shareholding needs to protect voting right of minority stockholders and intercept alienation of management rights even though come to birth adverse effects such as a fall in share prices, inducing loss property of general stockholders. This article is intended to suggest that regulation like restriction on circular shareholding is effective in preventing the fall in share prices, the infringement of property rights and so on.
