계약해제의 일반적 효과에 관한 제548조 제1항은 “당사자 일방이 계약을 해제한 때에는 각 당사자는 그 상대방에 대하여 원상회복의 의무가 있다. 그러나 제3자의 권리를 해하지 못한다.”라고 규정한다. 이러한 해제의 효과와 관련하여 ‘직접효과설’, ‘청산관계설’ 등이 주장되었다. 그러나 필자는, 해제로 인해 계약의 효력이 계약당사자들 사이에서는 계약체결 당시로 소급하여 소멸하지만, 제3자에 대해서는 해제한 때로부터 장래를 향하여 소멸한다는 ‘상대적소급무효설’이 타당하다고 생각한다. ‘상대적소급무효설’이 제548조 제1항을 제정한 입법자의 의사에 부합하는 견해이며, 거래의 안전을 도모할 수 있는 견해이며, 지배적인 견해인 ‘직접효과설’과 비교할 때, 해제의 소급효를 부인하는 대부분의 외국 입법례에 더 가까운 견해이기 때문이다. ‘상대적소급무효설’을 취할 때, 제548조 제1항 단서에서 “그러나 제3자의 권리를 해하지 못한다.”라고 규정한 것은, 해제의 효력이 제3자에 대해서는 소급하지 않음을 선언한 규정이 된다. 이때 제3자의 보호는, 제3자에 대하여 해제의 소급효를 부인하는 것만으로 충분히 달성된다. 다수설 및 판례인 ‘직접효과설’을 취할 때 요구되는, 해제의 효과로부터 보호되는 제3자의 범위를 제한하는 기준은 불필요하다. ‘해제된 계약에 기초하여 법률상 이해관계가 가진 모든 제3자’에 대해 해제의 소급효가 부인된다. ‘계약상 채권의 양수인’이나 ‘제3자를 위한 계약의 수익자’에 대해서도 해제의 소급효가 제한된다. 따라서 해제 전에 채무자가 이미 채권양수인이나 수익자에게 이행한 경우, 채권양수인이나 수익자가 취득한 권리는 해제의 영향을 받지 않는다. 다만 채무자가 채권양수인이나 수익자를 상대로 부당이득반환을 청구할 수 있는가의 문제는 남는다. 필자는, 채권양수인에 대해서는 이러한 청구를 긍정하고, 수익자에 대해서는 부정함이 타당하다고 하였다. 해제된 계약의 이행으로 상대방에게 이전된 부동산소유권을 해제 이후에 취득한 제3자(전득자)가 보호되는가에 대해, ‘직접효과설’은 선의의 제3자만 보호하는 데 반하여, 필자가 취하는 ‘상대적소급무효설’은 선의 여부를 불문하고 보호한다.

영문 초록

Civil Act § 548 (1) which provides for the general effect of rescission defines “If one of the parties has rescinded the contract, each party shall be liable to restore his other party to his original position: Provided, That the rights of third persons shall not be prejudiced thereby.” Regarding the effect of rescission, the ‘direct effect theory’ and ‘liquidation relation theory’ have been argued. However, I think the 'theory of relative retroactive invalidity' is valid which argues the effect of the contract extinguishes retroactively among the parties to the time of the conclusion of the contract due to rescission but toward the future from the time of rescission as for third parties. This is because the “theory of relative retroactive invalidity” is an opinion consistent with the legislator's intention to enact § 548 (1), can promote the safety of transactions, and compared to “direct effect theory” which is the dominant view, is closer to most foreign legislation denying the retroactive effect of rescission. When taking the “theory of relative retroactive invalidity,” the proviso to § 548 (1) that states “Provided, That the rights of third persons shall not be prejudiced thereby” is a regulation declaring that the effect of rescission is not retroactive to a third party. The protection of the third party is sufficiently achieved by denying the retroactive effect of the rescission to the third party when we take the “theory of relative retroactive invalidity.” Criteria for limiting the scope of third parties protected from the effect of rescission, which is required when taking the ‘direct effect theory’ which is a majority theory and the view of precedent are unnecessary. The retroactive effect of the rescission is denied for 'all third parties who have legal interests based on the rescinded contract'. The retroactive effect of the rescission is also limited for “the assignee of the contractual claims” or “the third person enriched by the contract in favour of third person.” Therefore, if the obligor has already performed an obligation to the assignee of the claim or the third person enriched before the rescission, the rights that the assignee or the third person enriched acquired are not affected by the rescission. However, the issue remains whether the obligor can claim the return of unjust Enrichment against the assignee of the claim or the third person enriched. I said that it is reasonable to affirm this claim to the assignee of the claim and to deny it to the third person enriched. As for whether the rescission of the contract protects the third party who acquired the real estate ownership transferred to the other party after the rescission(subsequent purchaser), the 'direct effect theory' protects only the third person acting in good faith, whereas the 'relative retroactive invalidity theory' I take protects the third party regardless of their faith.
