담보법 개정에 관한 단상

국문 초록

현재 금융 담보의 발전은 민법에 따른 담보제도가 실제 거래 세계의 모든 요구를 충분히 충족시킬 수 없음을 확인시켜 준다. 민법에 규율되어야 할 사항이 특별법에 규율되는 경우가 많을수록 민법은 그만큼 실질 법규로서의 성격을 잃게 된다. 이로 인해 민법의 공동화 내지 형해화를 가져온다면, 민사특별법은 가능한 한 민법전에 편입되어야 한다. 현재 우리 민법은 몇 가지 도전에 직면하고 있다. 첫째, 여기저기 흩어져 존재하는 특별법상의 담보를 민법전에 흡수시킬 것인가. 둘째, 학설과 판례에 의해 만들어진 새로운 유형의 담보를 민법전에 규정할 것인가. 셋째 국제적 통일화를 고려하여 민법전에 통일적인 하나의 담보체제를 구축할 것인가. 모든 담보제도가 민법전에 포함될 필요는 없고 가능하지도 않다. 하지만, 동산담보권, 채권담보권, 특수저당권, 특별우선특권 등을 민법에 편입시키는 것이 바람직하다고 생각하며, 한국의 담보제도가 지나치게 복잡하다는 불필요한 오해를 풀고자 한다. 이제 한국민사법학회의 주도로 민법개정을 위한 준비작업이 시작되었다. 현 단계에서 이 논문이 담보법 개정을 위한 준비 작업의 일환으로 담보제도를 둘러싼 다양한 이슈와 논의의 출발점이 되기를 기대한다.

영문 초록

The current development of financial collateral confirms that the collateral system under the civil law cannot sufficiently meet all the demands of the real world of transactions. Of course, not all collateral systems need to be accommodated in the Civil Code, nor are they possible. As there are more cases where the matters that should be governed by the civil law are governed by the special law, the civil law loses its character as a substantive law. If this leads to the voiding of the civil law, the special civil law should be absorbed into the civil code as much as possible. Currently, our civil law faces several challenges. First, will the collateral of the special law that are scattered here and there be incorporated into the Civil Code? Second, whether a new type of collateral should be legislated in the Civil Code by reflecting academic precedents? Third, in consideration of international unification, will a unified security system be established in the Civil Code? I think that it is desirable to incorporate security over movable property security right, mortgage right of special registered movable property etc into the Civil Code, and I would like to dispel unnecessary misunderstandings that Korea's security system is complicated. The preparatory work for the revision of the civil law has now begun under the leadership of the Korean Association of Civil Law. At this stage, it is expected that this thesis will serve as a starting point for various issues and discussions surrounding the collateral system as part of the preparatory work for the revision of the collateral law.
