美 해외투자안보심사제도 도입의 주요 쟁점 및 전망

국문 초록

2017년 미 트럼프 행정부 출범 이후 “미국을 다시 위대하게”라는 슬로건을 내세워 자국의 첨단 핵심기술 획득을 목적으로 이루어지는 외국자본의 투자 및 인수·합병에 대해서 민감한 반응을 보이게 되는데 외국인투자위원회(CFIUS)의 권한을 강화하여「외국인투자위험심사현대화법(FIRRMA: Foreign Investment Risk Review Modernization Act of 2018)」을 제정하였고, 2021년 1월 바이든 행정부 출범 후에는 “미국의 리더십 부활” 즉, 국제질서를 주도할 역량을 가진 나라는 오직 미국뿐이라는 슬로건을 앞세워 글로벌공급망재편(GVC)의 일환으로 2022년 7월 말 「반도체 칩 및 과학 법(CHIPS and Science Act of 2022)」, 2022년 8월 16일 발효된 「인플레이션 감축법(Inflation Reduction Act of 2022, 이하 IRA)」이 대표적으로 동맹국과 적극 협력 및 관계 회복 외교정책을 펼치면서도 국익을 더 우선시하는 과거 정부와 동일한 경향을 보이게 된다. 2022년 6월 13일, 미국은 국가안보 위험에 발 빠른 대응을 위해 특정 해외투자심사(outbound investment review) 및 비즈니스 활동을 제재하는 법안 초안을 공개하였다. 이른바 「2022 국가핵심역량수호법(National Critical Capabilities Defense Act of 2022, 이하 2022 NCCDA 또는 개정 NCCDA)」법안이다. 이 법안은 2022년 2월 하원을 통과한 미국경쟁법안(COMPETES Act)에 포함되었던 NCCDA 2021을 대체하기 위한 것으로 미국 및 관련 우방국들이 해외의 적대적 국가들과 투자 및 거래 활동을 규제하는 것을 담고 있는데, 기업의 해외투자 활동을 국가가 직접 나서 안보심사를 적용하는 사례는 중국을 제외한 최초의 사례가 될 것으로 국제적인 시선과 관심이 집중되고 있다. 본 연구는 미 NCCDA 법안의 특성을 분석하고 유사한 국제법 선행연구 등을 종합하여 국가안보의 관점에서 자국의 이익을 보호하기 위한 대응 전략을 제시한다. 특히 미 정부나 의회가 규제하고자 하는 통제 대상 및 기준이 광범위하고 역외적용 조항까지 포함되어 있어 우리 기업이나 정부의 대응 전략 수립, 더 나아가 국제공조가 필요한 기술적 수단에 이바지하고자 한다.

영문 초록

Since the inauguration of the Trump administration in 2017, it has been sensitive to foreign capital investments and mergers and acquisitions aimed at acquiring advanced core technologies in the country under the slogan “Make America Great Again”, The Foreign Investment Risk Review Modernization Act of 2018 was enacted by strengthening the authority of the Foreign Investment Commission (CFIUS). “Resurrection of U.S. leadership” since the inauguration of the Biden administration in January 2021. In other words, part of the Global Supply Chain Reorganization (GVC) with the slogan that the U.S. is the only country capable of leading the international order, The “CHIPS and Science Act of 2022”, which took effect at the end of July 2022, and the “Inflation Reduction Act of 2022”, which took effect on August 16, 2022, are representative examples, while actively cooperating with allies and restoring relations, it shows the same trend as the previous government, which prioritizes national interests. On June 13, 2022, the United States released a draft bill to sanction specific overseas investment reviews and business activities to respond quickly to national security risks.This is the so-called “National Critical Capabilities Defense Act of 2022 (hereinafter referred to as 2022 NCCDA or revised NCCDA)” bill. The bill is intended to replace NCCDA 2021, which was included in the U.S. Competition Act (COMPETES Act), which passed the House of Representatives in February 2022. International attention and attention are focused on the case that the state directly applies a security review to foreign investment activities of companies, except for China. This study analyzes the characteristics of the U.S. NCCDA bill and presents a response strategy to protect its interests from a national security perspective by synthesizing previous studies of similar international law. In particular, as the control targets and standards that the U.S. government or Congress intends to regulate are broad and include provisions for offshore application, it intends to contribute to the establishment of a response strategy for Korean companies and the government and further technical means requiring international cooperation.
