적법한 스위치선하증권의 기준 및 발행 시 주의사항에 관한 연구

국문 초록

스위치선하증권은 중계무역거래에서 원선하증권을 대체하는 수단으로 사용되는 것이 관행이다. 스위치선하증권의 합법성과 발행시 유의사항과 관련한 연구는 스위치선하증권의 발행자인 운송인 입장에서 연구가 진행되어 왔다. 본 연구는 원선하증권을 발행한 당사자가 아닌 제3자에 의해 발행된 스위치선하증권의 유효성 기준을 대법원 판례를 통해 명확하게 제시하였다. 스위치선하증권이 원선하증권과 마찬가지로 그 적법성을 인정받기 위한 기준은 다음과 같다. 첫째, 선하증권은 운송물의 인도청구권을 표창하는 유가증권으로 운송계약에 기하여 작성되는 유인증권이어야 하고, 상법은 운송인이 송하인으로부터 실제로 운송물을 수령 또는 선적하고 발행하는 것을 유효한 선하증권 성립의 전제조건으로 삼고 있으므로, 운송물을 수령 또는 선적 후 스위치선하증권이 발행되어야 한다. 둘째, 스위치선하증권의 발행권자는 원칙적으로 운송계약의 당사자로서 원선하증권을 발행한 운송인이나 선박소유자 또는 운송인으로부터 선하증권의 교부를 위임받은 자에 의해서 발행되어야 한다. 또한 본 연구는 제3자에 의해 발행된 스위치선하증권의 위험성을 전제로 스위치선하증권의 발행 요청자와 최종 매수인 입장에서 주의사항을 제시하였다.

영문 초록

It is customary to use the switch bill of lading as a substitute for the original bill of lading in intermediary trade. Researches on the legality of the switch bill of lading and cautions of issuing switch bill of lading have been conducted from the carrier’s perspective. This study clearly presented the criteria for the validity of the switch bill of lading issued by a third party, not the party issuing the original bill of lading. The switch bill of lading like the original bill of lading also has the following conditions to be recognized for its legality; First, a bill of lading is a valuable securities that commends the right of delivery(document of title) of a shipment, and it is the securities issued based on a contract of carriage, and it is a prerequisite for the issuance of a bill of lading after the carrier actually receives or ships the cargoes from the shipper under commercial law, so a bill of lading should be issued after receiving or shipping the cargoes. Second, in principle, the switch bill of lading should be issued by the parties to the carriage contract such as the carrier who issued the original bill of lading, a ship owner, or a ship agent or freight forwarder delegated by the original carrier. In addition, precautions were presented from the perspective of the switch bill of lading issuance requestor and the final buyer on the premise of the risk of the switch bill of lading issued by a third party.
