보상위원회 도입과 비기대 경영자 보상

국문 초록

본 연구의 목적은 보상위원회를 도입한 기업의 경우 경영자 보상이 효율적으로 설계되는지를 보상 수준 측면에서 분석하는 것이다. 2001년부터 2010년까지 보상위원회를 도입한 158개 기업을 우선 선정한 후 이를 비교하기 위한 158개의 통제표본을 선정한 후 최종 316개 기업-연도 자료를 바탕으로 다중회귀분석을 통해 보상위원회 도입기업의 경우 경영자에게 적정 수준의 보상이 지급되는지를 분석하였다. 분석결과 보상위원회를 도입하여 운영하고 있는 기업의 경우, 그렇지 않은 기업에 비해 경영자 보상 수준이 보상을 결정하는 경제적 결정요인에 의해 기대되어진 수준을 상회하는 것으로 나타났다. 구체적으로 경제적 결정요인 조건부 비기대 보상이 보상위원회 도입과 음(-)의 관련성을 보일 것으로 기대하였으나, 비기대 경영자 보상의 절대값은 보상위원회 도입과 아무런 관련성을 보이지 않았고, 양(+)의 비기대 경영자 보상은 보상위원회 도입과 양(+)의 관련성을, 음(-)의 비기대 경영자 보상 또한 보상위원회 도입과 양(+)의 관련성을 보였다. 이상의 결과는 경영자 보상을 효율적으로 설계하기 위해 도입된 보상위원회가 본연의 역할을 충실히 수행하고 있다는 실증적 증거를 찾기 어려우며, 경영자 보상의 효율적 설계를 통해 경영자의 대리문제를 통제하기 위해 도입된 보상위원회가 본연의 역할을 충실히 수행하기 위해서는 보상위원회 질을 개선하기 위한 다양한 제도적, 실무적 노력이 필요하다고 판단된다.

영문 초록

Managers’ compensation is effective in controlling the agency problem. this study examines whether there is an significant association between unexpected managers’ compensation and adoption of the compensation committee and tests the above mentioned purpose using 316 firm-year data listed on Korea Exchange from 2000 to 2010. The results of this study is that adoption of the compensation committee and unexpected compensation level (the difference of current compensation and the expected level of compensation arising from the economic determinants of compensation) did not show a statistically significant association. Specifically, the absolute value of the unexpected compensation is no significant association with adoption of the compensation committee, the excess of the unexpected compensation is positive association, the shortfall of the unexpected compensation is also positive association with adoption of compensation committee. this finding suggests that the existence of compensation committee does not affect the efficient design of managers’ compensation.
