보험지주회사의 효율적 운영을 위한 관련법제 개선방안에 관한 연구

국문 초록

보험지주회사로의 설립과 전환시 문제점으로 지적되어왔던 과도한 사전적 규제의 문제점들이 근거법인 금융지주회사법의 개정을 통해 입법적으로 해결되었다. 특히 자회사의 범위를 금융업종 관련 회사로 한정하였던 규제를 비금융자회사까지 직접지배하여 자회사로 소유할 수 있도록 한 점이 대표적이다. 이와 같은 입법이 정비되어 비은행지주회사(보험지주회사와 금융투자지주회사)의 설립이 활발해 질 것으로 예상되고 있다. 그러나 규제개선의 효과에 따라 보험지주회사 설립이 활성화 된다면 지주회사 설립 후 효율적인 운영과 관련한 관련 법제의 추진되어야 할 것으로 본다. 대표적으로 지주회사를 통한 경제력 집중의 우려와 관련한 경쟁법적 문제점과 조직법적인 측면에서의 모.자회사 관계에서 모회사의 자회사에 대한 실효적 지배를 위한 입법조치도 필요할 것으로 본다. 이는 기업결합과 관련하여 조직법적측면，즉 회사법적 측면에서 고찰되어져야 하는 사항이다. 보험업법과의 문제도 제기되는 바 이는 보험회사를 자회사로 지배하는 보험지주회사의 자회사에 대한(또한 자회사의 손자회사) 주식보유 비율과 관련된 금융지주회사법의 규정이 서로 다르게 규정되어 있는 점이다. 이와 같은 문제점에 대한 개선방안으로 첫째，사전적 행위규제 보다는 감독당국의 감독강화의 필요성， 둘째，상이한 법규간의 중복 규제의 문제를 해결하기 위한 관련 법률간의 관계를 명확히 하는 법개정의 필요 셋째, 기업결합에 따라 발생하는 이해 관계자의 보호를 위한 기업집단에 관한 장기적인 안목에서의 상법(회사편)에의 입법적인 정비， 넷째，보험업법상 자회사 주식보유 비율과 금융지주회사법상 최대주주 비율의 일치，신용공여 한도의 확대에 따른 감독의 강화 등을 제시하였다.

영문 초록

Insurance holding company and the establishment of the transitional problems have been pointed out as the problem of excessive pre-regulation of the financial holding company incorporated in the legislation were resolved through an amendment. Financial sector, especially related to a range of subsidiary companies were limited to the direct governance from regulation by non-financial subsidiary to a subsidiary to own a piece is typical. Such legislation is maintained non-bank holding company (insurance holding company and financial investment holding company) is expected to invigorate the establishment However, improving the effectiveness of regulation established under an insurance holding company is activated, a holding company with respect to the effective operation and improvement of relevant legislation shall be deemed to be promoting.
