국문 초록

본 연구는 국제물품매매계약에 관한 유엔협약의 관계적 계약이론 적용을 규명하기 위한 것으로 협약의 제25조에서 규정하고 있는 본질적 계약위반과 제29조 제1항에서 규정하고 있는 계약내용 변경에 대해 상호성-유연성 틀을 이용하여 관계적 특성을 고찰한 후 해당 조항을 적용한 중국의 판결례를 분석하였다. 분석결과, 제25조는 상대방의 기대이익을 본질적으로 침해한 당사자에게 책임을 귀속시키는 면에서 관계적 계약이론의 계약 규범 중 상호성이 적용된 것으로 나타났다. 제29조 제1항은 계약내용이 변경될 수 있으며, 이러한 변경에 대해 새로운 계약이 아닌 기존 계약의 연장으로 보는 측면에서 관계적 계약이론의 계약 규범 중 유연성이 적용된 것으로 나타났다. 법원의 판결에서도 이러한 점을 확인할 수 있었다. 따라서 향후 국제물품매매계약에 관한 연구는 고전적 계약이론 뿐 아니라 관계적 계약이론이 함께 고려할 보다 효율적으로 수행될 수 있음을 시사한다.

영문 초록

This study is designed to identify the application of the relational contract theory on the United Nations Convention on Contract for the International Sale of Goods. The mutuality-flexibility norm, derived from the relational contract theory, is used as a framework for analysis. The analysis subjects are Article 25, Article 29 (1), and two decision cases of China ruled by applying CISG 25 and 29 (1). The results are as follows. Article 25 shows that the mutuality norm is applied in terms of attributing the responsibility to the party that did the fundamental breach of the contract, who infringed on the expected profit of the other party. Article 29 (1) shows that the flexibility norm is applied because the contract content can be changed under an existing contract, unlike the classical contract theory. These were confirmed in the decisions. This means that CISG is adopting a relational contract theory. Therefore it will be more efficient to consider not only the classical contract theory but also the relational contract theory.
