임대차계약 당사자의 도산에 관한 민법및 도산법의 해석

국문 초록

임대차는 당사자 일방이 상대방에게 어떤 물건을 사용·수익할 수 있게 하고, 상대방은 그 사용·수익의 대가를 지급하기로 약정함으로써 성립하는 쌍무계약이다. 임대차가 아직 종료되지 않은 상태에서 당사자 중 일방에 대해 도산절차가 개시된다면, 당해 계약에 따른 법률관계는 어떠한가? 임대인과 임차인이 각자의 의무를 전부 이행하지 않았는데 어느 일방에 대해 도산절차가 개시된 경우 당해 임대차계약은 미이행 쌍무계약에 해당한다. 미이행 상태인 계약의 당사자가 도산한 경우 이에 관하여는 민법및 도산법의 관련 규정이 적용될 수 있다. 민법에 따르면 임차인이 파산선고를 받은 경우 임대인이나 파산관재인은 계약해지의 통고를 할 수 있다(제637조 제1항). 도산법에따르면 관리인이나 파산관재인은 도산절차 내에서 미이행 쌍무계약의 해제·해지 또는그 이행을 선택할 수 있으며(제119조, 제335조), 특히 임대차와 관련하여서는 대항력 있는 임차인 보호 등을 위한 별도의 규정이 있다(제124조, 제340조). 한편 민법에서는 임차인이 파산선고를 받은 경우 이외에 당사자가 도산한 경우에 대하여는 별도로 규율하지 않는다. 그리고 민법과 도산법의 규정 내용이 상이하거나 법적 규율이 존재하지 않는 영역으로 인해 해석상 많은 논란이 있다. 그 중 주요한 것은 다음과 같다. 구 회사정리법과 파산법 시행 당시에는 임대인에 대해 도산절차가 개시된 경우 관리인이나 파산관재인이 대항력을 갖춘 임대차계약도 해지할 수 있는지 여부가 문제되었다. 도산법에서는 임차인이 주택임대차보호법 제3조 제1항 등의 대항요건을 갖춘 때 관리인이나 파산관재인이 당해 계약을 해지할 수 없다고 규정하여 이 문제를 입법적으로 해결하였다(제124조 제4항, 제340조 제4항). 그러나 선순위 담보권보다 이후에 대항력을 갖춘 임차권에 대하여도 일률적으로 해지할 수 없도록 할 경우 불합리한 결과를 초래할 수 있으므로 그 적용범위를 제한할 필요가 있다. 한편 임차인이 임대인에게 차임을 미리 지급하였다는 이유로 이중의 차임지급 위험을 부담하게 하는 도산법 제124조 제1항 및 제2항 등은 합리성을 인정하기 어렵다. 또한 현행 법체계상 임차인이 파산선고를 받은 때민법 제637조가 도산법 제335조에 우선하여 적용된다고 해석하더라도, 민법 제637조의타당성에 관하여는 입법론상 재고할 필요가 있다고 생각한다.

영문 초록

The rental contract is a bilateral contract concluded by agreement that oneparty(“lender”) allows other party(“borrower”) to use the rental object and profitfrom it, and a borrower should pay the cost for it to a lender. What is the legalrelationship about the rental contract, if rehabilitation or bankruptcy procedure(collectively “insolvency procedure”) commences for one party of the contractduring the contract duration. Executory bilateral contract is defined as one thatis so far unperformed on both sides of contract at the time of commencementof insolvency procedure. It is ruled dualistically by the Act on DebtorRehabilitation and Bankruptcy(“the Insolvency Act”) and the Civil Law when aparty of the contract is bankrupt. According to the Civil Law §637①, a lenderor trustee can notify termination of the contract in case of the declaration ofbankruptcy to a borrower. According to the Insolvency Act §119 and §335,meanwhile, custodian and trustee has the option, the right to choose performanceor termination of the contract established by debtor prior to the commencementof insolvency procedure. In addition, there are the special provisions related tothe rental contract, the Insolvency Act §124 and §340. There is a lot of controversyabout the executory rental contract due to interpretative problem of the Civil Lawand the Insolvency Act. The main issues of them are as follows. According tothe Insolvency Act §124④ and §340④, custodian and trustee is not able toterminate the contract when the borrower has the legal requirement(“opposingpower”) ruled by the Housing Rental Protect Act §3①, etc, but it is necessarythat the scope of application should be limited related to a borrower withopposing power after the creation of a prior security. It is not reasonable thata borrower should take the legal risk from duplicate payment by the InsolvencyAct §124①-②. According to the current legal system, although the Civil Law §637should be applied in case of a borrower s bankruptcy, I think that the legitimacyof the provision should be reviewed in the legislative aspect.
