사외이사의 겸임이 기업가치에 미치는 영향

국문 초록

이사직 겸임이 기업가치에 미치는 영향에 대해서 국외선행연구에서는 Reputation Hypothesis 와 Busyness Hypothesis로 나뉘어 일관된 결과를 보여주고 있지 않지만, 사외이사가 모니터링에 충분한 시간을 사용하지 못함에 따라 기업이 직면한 주요 쟁점에 대한 이해가 부족하다는 Busyness Hypothesis가 보다 더 지지를 받고 있다. 이처럼 이사의 이사직 겸임에 대해 국외에서는 활발한 논의가 이루어지고 있으나 국내의 경우 이사의 이사직 겸임에 대한 연구는 그리많지 않은 실정이다. 이에 따라 본 연구는 사외이사의 이사직 겸임에 대한 두 가지 가설을 바탕으로 사외이사 중 겸임하는 이사의 존재, 비율에 따른 기업가치 변화를 코스닥 상장기업을 대상으로 분석하였다. 이를 위해 2개 이상의 기업에서 이사로 임명된 자를 ‘겸임하는 이사’로 정의하고, 기업가치의 대리변수로 Tobin’s Q를 사용하였다. 분석결과, OLS분석에서는 사외이사의 이사직 겸임여부는 기업가치와 유의한 양(＋)의 관계에 있었다. 그러나 겸임비율은 기업가치와 양(＋)의 관계를 보여주었으나 유의하지 않았다. 사외이사의 이사직 겸임과 기업가치 사이의 내생성을 제거하기 위해 시도한 2SLS 분석에서는 기업가치와 유의한 음(－)의 관련이 있음을 확인하였다.

영문 초록

The study on the Effects of multiple directorships on firm value is divided into the reputation hypothesis and busyness hypothesis and does not show consistent results. But busyness hypothesis is more supportive today. This is because outside directors do not spend enough time to monitor facing issues. While there is a lively discussion abroad about the multiple directorships, but there is not much research in Korea. Thus, based on two assumptions about the multiple directorships, this study analyzed changes in the value of a company listed on the KOSDAQ according to the presence and ratio of directors with multiple directorships. To accomplish this, I defined the person appointed as a director in two or more companies as the ‘director with multiple directorships’. Tobin’s Q is used as a proxy variable for firm value. As a result of the analysis, the OLS analysis showed a significant positive relationship between the value of the firm and the multiple directorships. The 2SLS analysis that attempted to eliminate the endogeneity between the fim value and multiple directorships. It was confirmed that there is a significant negative correlation between the firm value and the multiple directorship.
