집행임원제의 장ㆍ단점에 대한 검토

국문 초록

상법(회사편) 일부개정법률(안)에는 집행임원제의 도입을 포함하고 있으며, 이는 현재 국회에 계류, 심의 중이다. 집행임원제란 기업지배구조의 개선과 관련되는 쟁점으로, 이사회의 권한 가운데 업무집행권과 감시감독권을 분리하여 전자는 집행임원에게, 후자는 감독이사회에 귀속시키는 제도이다. 집행임원제는 집행임원을 통하여 회사에 대한 감독 기능을 강화하고 절차의 투명성 보장 향상에 기여할 수 있다. 반면 이 제도는 경영효율성을 감소시키고 경영위기를 초래할 수도 있다. 더 나아가 대리인이론에 의할 경우 집행임원은 주주의 이익 극대화를 위한 행동을 하지 않을 것이라는 우려도 있다. 이러한 점을 종합할 때 우리나라에서 집행임원제의 도입은 입법화에 앞서서 신중하고 충분하게 검토되어야 할 것으로 판단된다.

영문 초록

A proposal to amend the Korean Commercial Code includes the executive officer system. It is being reviewed to be legislated in the National Assembly. The executive officer system is related to reform the Corporate Governance. This system separates the management and supervision functions of the board of directors, and therefore, the executive officers are in charge of the management functions and the board of directors are in charge of the supervision functions. The executive officer system should be improved the supervision functions against a corporation and guaranteed open process. On the other hand, this system may be concerned to reduce the efficiency of the business and cause for crisis of management. Further, under the agency theory, it would be concerned that managers (e.g. executive officers in this Article) will not act to maximize the returns to shareholders. Under the circumstances, it is deemed that the introduction of the executive officer system in Korea should be deliberated and thoroughly reviewed before the legislation.
