국문 초록

싱가포르 사업신탁은 미국식 사업신탁과 같은 기업조직형과 영국식 유니트 트러스트와 같은 집합투자기구의 성질을 결합한 투자기구이다. 이러한 Hybrid형 집합투자기구가 남북한 통일사업을 위한 금융투자상품으로 활용될 수 있다면, 해외투자자들에게는 생소하지 않은 금융투자상품이므로 일단 쉽게 관심을 끌 수 있을 것이고, 통일의 가능성이 고조되면 될수록 그 통일사업(예를 들면, 북한 지역내 고속도로건설, 철도건설사업, 항만건설 등의 인프라사업)은 안정적인 성장을 할 것이고 높은 현금흐름으로 인해 고수익 창출에 대한 기대감을 높일 수 있게 될 것이다. 우리나라 2011년 개정신탁법은 영업신탁, 자기신탁, 수익증권발행신탁, 유한책임신탁 등의 새로운 제도를 도입한바 있다. 이 새로운 제도들은 개별적으로 신탁의 기능을 수행할 수도 있지만, 이들을 조합하게 되면 주식회사와 같은 공동기업형태를 창출해 낼 수도 있고, 회사의 기능과 신탁의 기능이 결합된 Hybrid형 집합투자기구를 만들어 낼 수 있다. 본 논문에서는 먼저 미국, 영국, 일본에서 신탁을 활용한 집합투자제도(collective investment institute)의 발전과 싱가포르의 Hybrid형 사업신탁의 특징과 운용을 검토하고, 그로부터 우리나라의 Hybrid형 집합투자기구의 설계를 위한 착안사항을 도출해 내고, 마지막 단계에서 그 착안사항을 바탕으로 개정신탁법상 유한책임사업신탁의 구체적인 모습을 제시해 보고자 한다.

영문 초록

Business Trusts in Singapore offer investors a new way to invest in cash-generating assets, including infra structure, real estate and transportation assets. Business Trusts in Singapore are business enterprises set up as trusts, instead of companies. They are hybrid structures with elements of both companies and trusts. Like a company, a business trust operates and runs a business enterprise. But unlike a company, a business trust is not a separate legal entity. It is created by a trust deed under which the trustee has legal ownership of the trust assets and manages the assets in the best interest of the beneficiaries of the trust. The new Trust Act(the ‘TA’), enforced as of June 26, 2012, expands the definition of trust property to encompass the so-called passive properties. This way, the TA can be said to allow a trust of the business organization which combines both active and passive assets. Further, the TA provides for a declaration of trust, securitization of beneficiaries’interests, issuance of trust-bond certificates and a trust where the trustee’s personal liability is limited or excluded, all of which provide for a basis for using commercial trusts. Also, a limited-liability trust for operating business organization is a competitor of stock company as a type of Business Enterprises. The intent of this paper is to firstly evaluate the collective investment institute development process through utilization of trust among the United States, United Kingdom, and Japan and investigate the traits and management of the hybrid type business trust in Singapore. Based on these analyses we would like to deduct a hybrid type collective investment institute implementation strategy for South Korea and suggest a detailed format for the limited liability business trust within the new Trust Act.
