국문 초록

최근 영미법계 국가에서도 신의칙의 개념이 발전되고 있으며, 또한 국제물품매매계약에 관한 유엔협약(CISG), 유럽계약법원칙(PECL), UNIDROIT 국제상사계약원칙(PICC)에서도 신의 칙이 명문화되고 있다. 이제는 신의칙이 대륙법계의 특징적인 법 원칙으로 이해되지 않는 상황이 전개되고 있다. 그러나 신의칙은 계약상 준수되어야 할 일반원칙 또는 기본원칙으로 악의를 배제하는 합의임에도 불구하고 객관적이며 구체적인 개념이 확립되어 있지 않으며, 국가에 따라서도 상당한 차이를 보이고 있다. 이로 인해 각국은 신의칙과 관련하여 초국적 법원이며 국제성 법원을 인용함으로써 해석상의 차이점을 극복하려고 하고 있다. 본 연구에서는 한국 민법의 기본원칙인 신의칙의 역할과 기능의 세계화에 대한 필요성이 대두되고 있어, 특히 유럽계약법원칙과 한국 법제를 비교·분석하여 그 시사점을 도출하고 있다.

영문 초록

Purpose : The purpose of this paper is to find the implications by comparing the PECL and Korean legislation in relation to the principle of good faith based on the contents of good faith in the PECL, the contract law of the European Union. Research design, data, methodology : This paper is composed of five chapters based on literature studies. Chapter Ⅰ deals with the introduction of this paper and Chapter Ⅱ explains the definition and application of good faith to Korean laws. Chapter Ⅲ deals with the comparison of PECL and PICC. Chapter Ⅳ deals with the differences between Korean law and PECL. Chapter V concludes this paper. Results : The result of this paper is to globalize the principle of good faith in Korean law and is expected to be the foundation for future studies on globalization of the principle of good faith in Korean laws. Conclusions : As the term “good faith” lacks a fixed or uniform meaning and this term is loose and amorphous, courts have been able to apply the notion of good faith in a wide variety of circumstances, ranging from the imposition of precontractual duties to excuses for nonperformance. This situation in applying good faith is same as Korean laws. Therefore, Korean laws must reflect global standard such as CISG, PICC and PECL in view of good faith.
