국문 초록

본 연구는 CFR 규칙의 조건변경에 따른 위험변경의 최대선의 의무와 관련하여 논의되고 있는 여러 문제점을 검토하였다. 최대선의 의무의 구체적인 내용을 분석한 후 어떠한 경우에 CFR 규칙에서 의무위반이 성립되게 되며, 문제 해결을 위하여 매도인에게 요구되는 최대선의 의무의 CFR 규칙의 존속기 간, 계속적인 최대선의 의무가 적용되는 구체적 범위, CFR 규칙의 의무위반 효과 등 최근에 나타난 여러 문제점들을 제시하였다. 매매계약의 의무위반에 대한 구제수단은 전체적인 영향을 미치는 것이 아닌 당해 연장, 변경, 갱신에 한정하여 합리적인 방법으로 취소할 수 있어야 한다. 현재 국제통상에서 사용되고 있는 CFR 규칙은 최대선의 의무를 매매계약의 전 과정에 걸쳐 매매당사자들에게 요구하고 있고, 또한 계약 성립 후라도 경우에 따라서 알릴의무가 매매 당사자들에게 요구되고 있다. 이것은 매매계약에 따라 의무, 담보조항의 조건의 이행으로서 요구되는 것이지 매매계약 성립 후의 계속적 알릴의무로서 해석된다는 것은 맞지 않다고 사 료된다.

영문 초록

Purpose : This study speculated on several problems which have been discussed in respect to the Duty of the Utmost Good Faith according to change of conditions in the CFR Rules. Research design, data, methodology : After the study analysed specific contents of the Utmost Good Faith, it presented several problems including infringement of the duty in CFR Rules, existence terms of the CFR Rules in respect to the Duty of the Utmost Good Faith required to sellers to solve problems, specific ranges the Utmost Good Faith is continuously applied for, the results of infringement of the CFR Rules. Results : Remedies for infringement of sales contracts should be allowed to reasonably be cancelled only in case of change, extension and renewal rather than they had overall influence on the infringement. Conclusions : The CFR Rules that have been used in international trade require parties to sales to abide by the duty of the Utmost Good Faith and in some cases when a contract is concluded, they are required to abide by the duty of disclosure. It was suggested that it is not thought that it is right to interpret it as the Continuing Duty of Disclosure as it is required as execution of conditions in the duty and mortgages clause.
