대금정산회사 설립에 관한 법적 검토

국문 초록

가락시장과 강서시장의 양대 시장에서 출하대금·판매대금의 결제와 관련된 정산조직의 설립의 움직임이 활발히 이루어지고 있으며, 자발적인 정산조합에서 나아가 통합정산회사를 통한 결제를 제도화하려는 시도도 이루어지고 있다. 문제는 이처럼 도매시장 전반에 걸쳐 통합정산회사를 통해 판매대금 ‧ 출하대금의 정산을 의무화하는 것이 현행 법체계와 조화될 수 있는가이다. 이를 검토하기 위해 대금지급 정산에 관해 현재까지 주장된 견해들과 이와 관련된 법령의 내용을 살펴보고, 이어서 정산회사의 설립 및 이를 통한 의무적 정산이 위헌 ‧ 위법의 요소는 없는지를 분석하였다. 그리하여 다음과 같은 결론을 얻을 수 있었다. 현행법의 해석상 자율적인 대금정산조직은 허용되므로, 도매시장 참여 기업들이 정산회사나 정산조합을 설립할 수 있으며, 이에 참여하지 않고 개설자의 업무규정에 따른 정산창구를 이용할 수도 있다고 본다. 또 대금정산조직에 참여한다고 할 때 정산회사나 정산조합 중 어느 것이든 자유롭게 선택할 수 있다고 본다. 그러나 만일 법을 개정하여 정산조직으로서 정산회사만의 설립을 허용하거나, 도매시장 참여자들로 하여금 이러한 정산회사에의 참여를 의무화 하는 것이라면 이는 기업활동의 자유를 침해하는 결과가 되므로 위헌 소지가 있다고 본다.

영문 초록

The movement of the establishment of payment organization related to settlement of sale price in both market of Garak market and Gangseo market is actively carried out and furthermore attempts to institutionalize through integrated payment company by combination of voluntary settlement have also been made. I think that it is necessary to consider whether this can harmonize with the current legal system in connection with obliging the settlement through the payment company, especially in connection with the sales price of the wholesale market. In this paper, to solve these issues, we will look at the viewpoints that have been alleged to date regarding settlement of payments and related laws and regulations, then I tried to present a reasonable plan by confirming whether the establishment of a payment company and adjustment of obligation through this is unconstitutional or illegal. In the interpretation of the current law, autonomous payment organization is permitted, so participating companies in the wholesale market can establish a payment company or payment union and I think when we decide to participate in the settlement organization, we can freely choose either the payment company or the payment association. However, if the amendment of the law allows the payment company to be established only as a payment organization, or if the wholesale market participants are obliged to participate in the payment company, it would be unconstitutional to infringe the fundamental freedom of their corporate activities.
