국문 초록

프랜차이즈(franchise), 즉 가맹사업은 자본주의 경제체제에서 가장 새로운 유형의 상행위 내지 사업형태로서 전 세계적으로 괄목할만한 성장을 보이고 있다. 우리나라의 경우에도 1970년대 후반에 도입된 이래 1997년의 외환위기, 2008년의 금융위기를 겪으면서 급속히 발전하였고, 근래에는 베이비붐세대의 은퇴시기와 맞물려, 특히 대기업의 각종 가맹사업에의 참여가 활발해지면서 그 성장속도를 가늠하기가 어려울 정도이다. 그러나 이러한 가맹사업의 급속한 발전은 순기능적인 효과를 가져옴과 동시에 그에 못지않게 거시적 또는 미시적 관점에서의 많은 문제들을 수반한다. 오늘날 많은 실직자 및 은퇴자들이 양산되고 청년실업의 문제가 심각한 우리의 경제상황에서는 이러한 폐해가 더욱 심화될 수 있으며, 특히 무분별하게 가맹점사업에 띄어들어 심각한 경제적 피해를 보는 사례가 급속히 증가하고 있다. 이러한 가맹사업에 수반되는 폐해를 단순히 피해당사자 개인의 문제로 치부하여 방치한다면 결국 심각한 사회문제로 발전할 수 있고, 국가경제적으로도 부정적인 결과를 가져올 수 있다는 점에서 이에 대한 적극적인 대응이 필요하다. 따라서 미국 등 선진 제국에서는 일찍부터 가맹사업을 규율하는 법제시스템을 갖추어 시행하고 있으며, 우리나라의 경우에도 가맹사업을 규율하기 위하여 2002년 가맹사업의 공정화에 관한 법률을 제정하는 등 가맹사업에 관한 규제시스템을 구축하여 오늘에 이르고 있다. 이제 가맹사업은 하나의 산업분야로서 우리나라의 경제발전을 이끌 매우 중요한 동인이라는 점에서 가맹본부와 가맹점사업자가 상호 보완적이고 협력적인 관계를 유지하여 서로 윈윈(win-win)하면서 가맹산업의 발전과 나아가서 국가경제의 발전에 기여할 수 있도록 가맹사업 관련법제가 그 모체로서의 역할을 충실히 수행하는 것이 그 어느 때보다 중요하다.

영문 초록

Franchise has become one of the newest commercial activities and business models in modern capitalistic economy, and also has shown its remarkable growth throughout the world. In Korea, Franchise business rapidly developed experiencing IMF crisis in 1997 and global financial crisis in 2008 since its first adoption in late 1970s. Particularly, in concert with the recent retirement of baby-boomer generation and the active participations of Korean large companies into all sorts of franchise businesses, the size of franchise enterprise has been expanded very quickly. However, the rapid development of franchise business might produce negative effects as well as positive effects in the perspectives of both macro-and microscopically. Specifically, amid our current economic situations with high rate of unemployment, the increase of retirees and youth unemployment, the negative effects of the franchise business could be increased. In reality, the cases of franchise victims who started their franchise business without full considerations on their business future has been rapidly increased. This kind of problem might create serious social problems besides personal economic problems, also produce several problems in the aspects of national economy. From this perspective, I recommend that there be a certain kind of regulatory response. In Korea, the legislators has being equipped its regulatory scheme concerning the franchise enterprise after the enactment of "The Fairness Act of Franchise Business" in 2002. In particular, the rearrangement of past unequal contractual relationship between the franchisor and the franchisee to equal one in order to protect the franchisee might be regarded as a crucial value in current regulatory system. When the recognition that the relationship between franchisor and the franchisee should not be subordinate or conflictive one but be collaborative one is diffused and established, we can expect the healthy development of the franchise business and national economy as well.
