총유 규정의 개정 여부와 비법인사단의 규율

국문 초록

본 논문에서는 총유 규정의 폐지 여부와 비법인사단의 규율에 관하여 민법개정위원회 분과위원회안을 중심으로 검토하고, 총유 규정의 폐지를 골자로 한 민법개정안을 제시하였다. 본 논문의 논의를 요약하면 다음과 같다. 첫째, 총유 규정이 법인 아닌 사단의 실제를 반영하고 있다고 보기 어렵고, 재판규범으로 적정한 기능을 하고 있지 못하며, 총유 규정을 적용하는 경우 부당한 결과가 발생할 수 있으므로 이를 폐지하는 것이 타당하다. 둘째, 총유 규정을 폐지하는 경우 법인 설립의 유인이 사라진다거나 법적 공백이 생겨 법적 안정성에 문제가 발생할 수 있다는 비판이 있을 수 있으나, 그와 같은 반박이 총유 규정의 존치를 고려할 정도로 설득력이 있다고 보기 어렵다. 종전에 축적되어 온 비법인사단에 관한 대법원 판례나 법리는 비법인사단의 정관 내지 규약으로 포섭할 수 있어 법적 안정성에 큰 문제가 발생하지 않는다. 셋째, 총유 규정을 폐지하는 경우 비법인사단이 취득한 재산은 어떤 사람이 소유한 재산 중 일부가 특정한 목적을 위하여 분리되어 독자적인 재산을 이루는 특별재산에 해당한다고 보는 것이 타당하다. 비법인사단의 사원들이 개인의 지위가 아니라 단체의 구성원이라는 특별한 지위에서 그 재산을 취득하고, 재산의 사용·수익·처분·관리 등을 둘러싼 법률관계는 법인의 규정을 준용하는 것으로 이론 구성을 하는 것이 적절하다. 넷째, 총유 규정을 폐지하는 경우에 비법인사단을 규율하고자 분과위원회는 여러 가지 개정안을 제시하였는데, 법인의 규정을 준용하자는 안, 사원의 연대 책임을 규정하자는 안은 타당하다. 그러나 비법인사단의 부동산에 관한 대표자의 처분권을 부동산등기부에 공시하여 거래의 안전을 도모하려는 안, 비법인사단의 재산 분배를 명시하게 하는 안은 타당하지 않다.

영문 초록

This paper studies the provisions of Korean Civil Code (hereinafter “KCC”) regarding the unincorporated entity(hereinafter “UE”) and “Gesamteigentum”, collective ownership of the members of UE. Based on the following grounds, this paper suggests the repeal of the provisions on Gesamteigentum. First, the current provisions do not reflect the reality of UE. The provisions do not provide proper decision-making standard for the judiciary. Even worse, the provisions sometimes lead to unjustified conclusion, since they strictly require UE to determine the administration and disposition of the property by the resolution from a general meeting of the members. Second, the grounds for retaining the provisions on Gesamteigentum are questionable. Counterargument has been raised on the ground that the instant repeal of the provisions on Gesamteigentum will harm legal certainty. In my view, however, most of the existent case law and legal doctrines on UE can be applied even after the repeal because they can be regarded as the hidden articles of UE. As such, the repeal of the provisions, even an instant one, is not likely to harm legal certainty. Upon the repeal of Gesamteigentum provisions, the property of UE should be deemed to be the separated property(“sondervermögen”) which means the property should be separated from the individual property of the members of UE for the specific purpose. In other words, each member acquires such property in the capacity of the member of UE, not in his/her own individual capacity and therefore the members are not allowed to dispose it individually. The provisions on the juristic person should be applied mutatis mutandis to the use, profit, disposition, and administration of such property. The subcommittee of the Korean Civil Code Amendment Committee launched by the Ministry of Justice has suggested several alternatives to the current provisions on Gesamteigentum. The alternatives are as follows: (a) to apply the provisions on the juristic person mutatis mutandis, (b) to impose joint liability to the members of UE, (c) to record the restraint on the disposition right of representative on the real estate register, and (d) to allow UE to distribute the property among the members. Based on the deep research of UE and comparative study on Gesamtegentum, this paper supports the first two alternatives.
