대미 외상(신용)거래 하에서 수입업자 파산에 따른 수출업자의 주의사항에 관한 연구

국문 초록

세계 경기 불황으로 미국 기업을 포함한 전세계 기업들이 파산 위험에 노출되어 있으며, 미국 기업에 수출하고 있는 많은 외국 기업들의 수출대금 미회수 문제가 대두되고 있다. 본 연구는 외상(신용)거래 하에서 수입업자 파산으로 수출업자가 대금회수를 위해 행정비용클레임을 청구한 판례를 중심으로 수출업자가 행정비용클레임에서 담보우선권을 확보하는데 있어 “수입업자의 파산신청 20일 전 이내에 배송된 물품에 대해서는 행정비용클레임을 청구할 수 있다”는 11U.S.C§503(b)(9) 규정을 적용받기 위해 적용된 기준으로서 물품의 수취시점(received or receipt)을 고찰한다. 또한 법원 판결에 근거하여 대미 신용거래를 하는 수출업자들에게 다음의 주의사항을 제시하였다. 첫째, 외상(신용)거래를 위한 기본적인 대비책을 고려해야 한다. 예를 들면, 상대방의 신용도 파악 및 상시 모니터링, 은행의 지급보증이 있는 신용장 결제방식 그리고 한국무역보험공사가 제공하는 단기수출보험 가입 등이다. 둘째, 분쟁시 적용 가능한 준거법에 대한 전반적인 이해와 더불어 셋째, 대미거래를 하는 당사자들은 미국 파산법에 대한 이해 또한 필요하다.

영문 초록

Due to the global economic downturn, companies around the world including US companies are exposed to the risk of bankruptcy, and many foreign companies exporting to companies in the U.S. have a problem of non-payment. This study focuses on the adminstrative priority status in witch the exporter asserts administrative expenses priority claim due to the bankruptcy of the importer under the credit transaction and also verifies the criteria considered in order to apply the regulation 11U.S.C.§503(b)(9) such as “a creditor may recover as a priority administrative expense the value of goods if the creditor sold those goods to the debtor in ordinary course of the debtor’s business within 20 days prior to its bankruptcy filing”. In addition, the following cautions were presented to exporters conducting credit transactions with the US companies based on the court judegment. First, as a countermeasure for non-pyament under credit transactions, exporters should check the credit of their trade parties and regular monitoring, use a letter of credit settlement method that a bank guarantees the credit of the importer, and purchase short-term export insurance provided by the Korea Trade Insurance Corporation. Second, it is necessary to understand the applicable governing law in case of dispute. Third, parties who trade with US companies should understand the US bankruptcy law.
