지주회사 전환이 자기자본비용에 미치는 영향

국문 초록

본 연구는 지주회사 전환 이후 자기자본비용 측정치가 낮아질 것이라는 가설을 설정하고 다변량회귀분석을 이용하여 실증분석을 수행하였다. 본 연구의 가설은 복잡한 상호출자와 순환출자 구조를 가졌던 대기업집단이 지주회사 체제로 전환되면 출자단계의 간소화, 지배주주의자(손자)회사 지분율 증가, 지분율괴리도 감소, 상호출자와 순환출자 해소 등으로 인해 소유구조와 기업지배구조가 개선되어 투자자가 부담하는 정보위험을 감소시킬 것이라는 기대에 근거하여 설정되었다. 2000-2010기간 동안 공정거래위원회에 일반지주회사로 신고한 계열기업군에 소속된 기업을 대상으로 실증분석을 수행한 결과 지주회사 전환 이후 기간에 자기자본비용은 전환 이전 기간보다 통계적으로 유의하게 감소하는 것으로 나타났다. 하지만 이러한 결과가 자기자본비용의 자기상관에 의해 영향을 받았을 가능성이 있으므로, 본 연구에서는 신호영·박화윤(2008)의 방법론에 근거하여 지주회사로 전환한 기업과 지주회사로 전환하지 않은 기업을 대응표본으로 선정하여 추가분석을 실시하였다. 분석결과, 지주회사로 전환한 기업의 경우 지주회사로 전환하지 않은 기업보다 자기자본비용이 낮게 나타났다. 본 연구의 결과는 지주회사 전환에 기인한 소유구조와 기업지배구조의 개선이 투자자가 부담하는 정보위험을 감소시키고, 자기자본비용의 감소를 가져온다는 시사점을 제공한다. 자기자본비용의 감소는 이론적 가치평가모형에서 기업가치의 증가를 의미한다. 본 연구의 결과는 지주회사 전환을 권장하고 있는 규제당국에 유용한 자료를 제공함과 동시에, 지주회사로 전환하지 않은 기업에 유인을 제공할 것으로 판단된다.

영문 초록

Using multiple regression, we posit and investigate the hypothesis that the estimated cost of equity decreases after the adoption of a holding company structure. Our investigation is motivated by expectations that the coversion to a holding company structure from complicated cross shareholdings system of ‘chaebol’ would result in improvement of ownership and corporate governance structure. In particular, the change to holding company is likely to increase large shareholders’ equity, simplify investment complexity, decrease ownership wedge and reduce the degree of cross shareholdings and circular shareholdings within business groups. The hypothesis assumes that the improvement in ownership and governance structure would reduce information risk born by investors. The empirical test examined firms under non-financial holding company structure as posted by the Korean Fair Trade Commission during 2000-2010 period. The results show that the estimated cost of equity statistically significantly decreased after the adoption of a holding company structure as compared to pre-adoption period. The results reported above could have been affected by the autocorrelation of estimated cost of equity. This possibility warrants additional test that controls the autocorrelation effects. We performed additional test following Shin and Park(2008) by employing matching samples. In this test firms that did not convert to holding company system were collected using industry and size as screening criteria. And the data includes only post-conversion period to avoid autocorrelation problems. The results comparing conversion sample against non-conversion sample show that the estimated cost of equity for conversion sample was significantly lower than that of non-conversion sample. The results of this study suggest that the improvement in ownership and corporate governance structure due to the adoption of a holding company system reduces the information risk born by investors, thereby leading to decrease in the cost of equity. The decrease in the cost of equity implies increase in firm value in theoretical valuation molel. The results of this study would provide evidence supporting the stance of regulatory bodies which had encouraged the conversion to a holding company since 1999 fair trade bill revision. The results of this study would also provide incentive to firms which did not adopt holding company structure yet.
