국문 초록

본 연구는 남북교역 계약체결과 관련하여 우리기업들이 겪는 어려움과 문제점을 개선하기 위해 그간의 남북교역 계약관행을 살펴보고, CISG의 주요내용 분석을 통해 남북교역에의 적용가능성을 검토하였다. 이를 위해 관련 문헌연구 및 남북교역 현장의 물품매매계약서에 대한 조사·분석을 토대로 계약관행 및 문제점을 살펴보았는데, 본 연구를 통해서 남북교역 계약체결 개선 및 CISG 적용가능성에 대한 몇가지 시사점을 도출하였다. 먼저 그동안 남북교역의 계약 관련 전반에 걸쳐 국제적 거래관행과의 많은 차이가 있었으며, 대부분 계약서의 조항 구성과 내용 측면에서 모호한 표현 및 필수조항 누락을 확인하였다. 그리고 ‘국제성’ 측면에서 남북교역은 ‘민족 내부거래’ 성격에도 불구하고, CISG 적용상의 문제가 없는 것으로 판단된다. 두번째로 계약유형별 적용범위에서 일반교역은 포함되나 위탁가공교역 방식은 건별 성격과 방식별로 추가 검토가 필요하다. 마지막으로 계약체결 과정에서 협약의 배제를 합의할 경우 반드시 계약서에 명시하고, 협약적용의 유보 여부는 추후 북한당국의 입장을 확인하고 대응해 나가야 할 부분이다.

영문 초록

Purpose : In order to improve the difficulties our companies face in the course of South-North Korean trade, this study examined the South-North Korean trade contract practices and derived the applicability of CISG in South-North Korean trade. Research design, data, methodology : Based on the investigation and analysis of the contract for the sale of goods at the relevant literature research and South-North Korean trade sites, we looked at contract practices and problems. Results : First, there have been many differences from international trade practices throughout contracts for South-North Korean trade, and most of the contracts were identified as ambiguous expressions and omission of essential clauses in terms of their composition and contents. Second, in terms of international nature, South-North Korean trade is judged to have no problem in applying CISG, despite the nature of the Korean internal trade. Conclusions : General trade between South-North Korea is possible in terms of CISG application, but processing trade between South-North Korea needs to be reviewed on a case-by-case basis. And whether to apply the CISG or not requires further research as the North Korean government s position and choice are important.
