국문 초록

국제보증거래에서 중복보증 또는 간접보증의 형태의 구상보증은 국제비즈니스를 위한 유용한 담보수단으로 이용되고 있으며, 또한 국제거래에서 중요한 역할을 하고 있다. 그러나 구상보증거래에서는 보증사고로 인한 구상보증상의 구상청구와 그 대응 과정에 있어서 많은 문제가 발생될 수 있다. 본 사건에서 주요 쟁점은 보증수혜자와 보증은행의 사기청구, 보증 청구 및 구상청구의 불일치성, 구상보증은행의 사기 인지 및 그 대응, 그리고 구상보증은행의 사기적 보상청구 등이 있다. 본 연구는 구상보증거래의 사기적 청구과정에서 발생된 주요 쟁점을 법원 판례를 통하여 분석하였다. 따라서 본 연구는 보증사고로 보증은행의 구상청구 절차상 발생될 수 있는 주요 쟁점을 법리를 기반으로 비즈니스적 관점에서 분석하였으며, 이를 통하여 비즈니스적 시사점과 적법한 대응방안을 논하였다.

영문 초록

A counter-guarantee is an irrevocable undertaking given to the guarantee bank by a counter guarantor and providing for payment upon demend in conformity with the requirements of the counter guarantee. The bank counter guarantees are served as useful security devices for international business activities and the counter guarantees play an important role in the international transactions. However, there could be many problems in the process of the counter guarantee demand and the respondence in case of non-performance of an obligation or contract in the counter guarantee transactions. The major issues include beneficiary’s fraud, guarantor’s fraudulent demand, non-conformity of guarantee demand, counter-guarantor’s knowledge of guarantor’s fraud, conspiracy between counter-guarantor and the parties concerned, counter guarantor’s fraud, and others. This paper reviewed the major issues from a business point of view based on legal principles and presented the practical notes and the proper countermeasures.
