건설수급인의 공사기간 연장에 따른 공기연장비용청구권에 관한 연구

국문 초록

공사계약일반조건은 공기연장 및 그에 따른 공기연장비용청구를 인정하기 위한 실체적 요건으로 도급인과 수급인 쌍방의 책임 없는 사유 또는 도급인의 책임 있는 사유로 인한 공기연장을 요구한다. 이는 결국 수급인의 책임 없는 사유로 인한 공기연장을 요건으로 한다. 이에 반해 미국의 커먼로는 수급인에게 공기연장에 관한 권리를 인정하기 위해서는 계약약관의 면책적 지연조항에 규정된 원인들 중 하나가 발생하였다는 사정만으로 면책적 지연을 인정하지 않고, 지배의 원칙에 따른 면책적 지연의 일반적 요건을 갖출 것을 요구한다. 즉, 지연의 원인이 수급인의 지배 범위를 벗어날 것과 지연에 수급인의 과실 또는 태만이 없을 것을 요하며, 전자의 경우 다음과 같은 3가지의 기준을 제시한다. ① 계약체결당시 수급인이 면책적 지연의 원인을 예견할 수 있는지 여부, ② 면책적 지연사유가 발생하였을 때 수급인이 이를 회피할 수 있었는지 여부, ③ 면책적 지연사유가 발생하였을 때 수급인이 그 지연의 영향을 극복할 수 있었는지 여부이다. 공사계약일반조건에서 수급인의 책임 있는 사유인지 여부를 해석할 때에도 미국 커먼로가 지배의 원칙을 기초로 발전시킨 면책적 지연의 일반적 요건을 참조할 필요가 있다. 또한 공사계약일반조건뿐만 아니라 미국의 건설계약약관에서도 면책적 지연과 보상적 지연에 따른 공기연장 및 보상에 관한 권리를 인정하기 위해서는 수급인의 적시통지절차를 요구한다. 이는 도급인으로 하여금 그 자신이 지연사상과 그 결과를 즉시 조사를 하여 그 원인을 해결 또는 피해를 경감할 수 있도록 하고, 수급인에게 적시에 적합한 구제방법을 제공하여 클레임을 해결할 기회를 주기 위함이다. 이러한 통지절차의 준수여부는 수급인의 권리행사에 중대한 영향을 미친다고 할 것인데, 이에 대한 미국 법원의 입장은 엄격이행을 요구하는 다수의 판례와 더불어 통지절차의 목적에 비추어 통지절차의 누락으로 인해 도급인의 이익이 실질적으로 침해된 바가 없다면 권리행사에 영향을 미치지 않는 것으로 이해하는 판례도 존재한다. 반면, 우리 판례는 공기연장과 공기연장비용청구와 관련하여 계약준수의 원칙에 따른 엄격이행을 요구하고, 이를 이행하지 않는 경우 수급인의 권리를 박탈하고 있다. 그러나 통지절차의 목적에 비추어 도급인의 이익이 실질적으로 침해된 바가 없다면, 수급인의 권리행사를 허용하는 방향으로 계약해석을 해 나가는 것도 한가지 방법이 될 수 있을 것이다.

영문 초록

General Conditions of contracts will require the extension of the construction period not attributable to reason the responsibility of the contractor in order to recognize the costs due to the extension of the construction period. on case law in the United States for the contractor to receive the construction period was extended it is not enough that one of the reasons of the provisions stipulated in the contract is caused. it requires that you must meet the general requirements of the excusable delay in accordance with rule of control. It requires that the cause of the delay is beyond the without control of the contractor and no fault or negligence of the contractor. in the former requirement, it presents the three criteria such as the following. ① when contracting at that time, whether it is possible for contractor to predict the cause of the compensable delay, ② when the nonexcusable delay event has occurred, whether it was possible for the contractor to avoid it, ③ when nonexcusable delay reasons has occurred, whether it was possible for the contractor to overcome the effects of the delay. In determining whether to correspond to the responsible cause of the contractor in the general conditions of construction contracts, it is necessary to refer to the court decision of the United States about the principles of control on a nonexcusable delay. In addition, our general conditions of the construction contracts as well as the United States of Construction Contract acknowledges the rights to the extension of the construction period and compensation by the compensable delay and excusable delay and requires the notification procedures in a timely manner of the contractor. this is the reason for the contractor to immediately investigate the result of delay, as it is possible to reduce the resolution or damage the cause, and to offer the appropriate remedy in a timely manner to the contractor is to give the opportunity to resolve the complaint.
