국문 초록

종류매매에서 매매목적물에 하자가 있는 경우 매수인은 계약의 해제 또는 손해배상의 청구를 하지 아니하고 하자 없는 물건을 청구할 수 있다(민법 제581조 제2항). 이를 완전물급부 청구권이라고 하는데, 추완청구권의 일종이라고 할 수 있다. 민법에서 이 권리에 대해서는 아무런 제한을 두고 있지 않다. 그러나 최근 대법원은 2014. 5. 16. 선고 2012다72582 판결에서 공평의 원칙을 근거로 완전물급부청구권의 행사를 제한하고 있다. 우리나라에서 완전물급부청구권이나 그 제한에 관한 논의는 많지 않았다. 그러나 독일 등 다른 나라의 입법례나 국제기구 등에서 나온 협약 등에서 추완청구권이나 그 제한에 관하여 명문의 규정을 두고 있는 경우가 많다. 완전물급부청구권은 추완청구권의 일종이기 때문에, 이에 관한 비교법적 검토를 함으로써 우리 민법의 해석에도 중요한 시사점을 발견할 수 있다. 이 논문에서는 독일민법을 비롯한 여러 입법례 등을 살펴보고, 완전물급부청구권을 제한할 수 있는지 여부, 그 근거와 제한 사유는 무엇인지에 관하여 학설과 판례를 검토하고 있다. 민법상 완전물급부청구권을 제한하는 규정이 없지만, 신의성실의 원칙이나 권리남용금지의 원칙에 기하여 완전물급부청구권의 행사를 제한할 수 있다. 대법원은 완전물급부청구권을 제한하는 근거를 공평의 원칙에서 찾고 있으나, 이는 민법 제2조에서 명문의 규정을 두고 있는 신의성실의 원칙 또는 권리남용금지의 원칙에서 찾는 것이 바람직하다. 완전물급부청구권의 제한여부는 구체적인 사건에서 개별적인 이익형량을 통하여 완전물급부청구권의 제한여부가결정될 것이다. 가령 완전물급부청구권을 인정하는 것이 매도인에게 과도한 비용이 드는 경우를 비롯하여 매도인에게 합리적으로 완전물급부를 기대할 수 없는 경우에는 완전물급부청구권을 제한해야 할 것이다.

영문 초록

In the context of a sale of unascertained goods, under Article 581(2) of the Korean Civil Code (the “Code”), the buyer is entitled to claim conforming goods without terminating the contract or claiming for damages from the seller, if the subject of the sale should contain defects. This is referred to as the buyer's right to conforming goods (the “Right"). Although the Code itself is silent on limitation to the Right, the Korean Supreme Court (the “Court") has recently ruled that it may be limited in certain circumstances under the principle of fairness (see Judgment of 2012Da72582, May 16, 2014). There has been relatively little discussion to date on the Right or any curb thereto in Korea. Yet, viewed from a comparative perspective, the enactments of several countries including Germany and international instruments related to the sale of goods often contain provisions on the buyer's right to demand the seller's performance of its contractual obligations and limits placed on the right, respectively. As the Right is recognized as a part of the buyer's right to claim the seller's actual contractual performance, undertaking a comparative study relating to the Right may provide some useful pointers in construing the Code. This paper, therefore, examines the pertinent enactments of other nations including the German Civil Code, as well as related case law and literature to ascertain if the Right may be constrained and, if so, what the rationale behind the limitation is. The Code contains no specific provision limiting the Right per se, but its exercise may nevertheless be confined in certain circumstances under the principle of good faith or the doctrine of abuse of rights, as the case may be. The Court has traced the basis of limiting the Right to the principle of fairness, but it is submitted that such basis is better identified elsewhere as in the principle of good faith or the doctrine of abuse of rights, both of which are encapsulated in Article 2 of the Code. In deciding whether to limit the Right, an adjudicating court would engage in an act of ad hoc balancing by weighing the interest of buyer and seller. In this context, the Right may be limited where, for instance, affirming the Right would incur exorbitant costs or burden at the seller’s end, or where the seller cannot be reasonably expected to supply the conforming goods.
