유럽契約法原則上의 錯誤의 示唆點

국문 초록

2004년에 자동 폐기된 민법개정안과 2009년에 설치된 민법개정위원회가 장기 과제로 다루고 있는 錯誤의 개정 내용은 모두 유럽契約法原則이 고려되고 있다. 우리 民法의 錯誤 規定은 도그마틱한 '意思主義'의 입장을 취하여 錯誤의 인정 범위를 지나치게 넓게 인정하고 있다. 유럽契約法原則은 錯誤가 錯誤者에게 重要하다는 것을 相對方도 알았거나 알았어야 했고, 추가적으로 相對方에 대한 事由로서 相對方의 情報提供으로 인한 錯誤의 誘發, 錯誤에 대한 相對方의 認識 내지 認識可能性 및 信義則에 反할 것, 相對方의 同一한 錯誤 중 하나에 해당해야 취소를 인정하고, 예외적으로 錯誤者에게 과실이 있는 경우 취소를 부정하도록 구체화하고 있다. 한편 현행 民法의 錯誤 規定은 動機의 錯誤는 원칙적으로 취소사유가 되지 못한다는 전제에 서 있다. 그런데, 우리 학설과 판례는 動機의 錯誤에 관하여는 대체로 일정한 경우 취소가 된다고 보고 있다. 그러나, 판례는 명확한 기준을 제시하지 못하고 있다. 유럽契約法原則에 따르면 보다 명확하고 타당한 기준을 얻을 수 있다고 여겨진다. 유럽契約法原則에서는 원칙적으로 모든 類型의 錯誤를 고려하므로 결국 動機의 錯誤도 구체화되어 있는 錯誤의 要件으로 포섭된다. 또한, 쌍방의 共通의 錯誤에 있어서 계약을 調整하여 그 효력을 존속시키는 것이 합리적이지 못할 때에만 계약의 취소를 인정하여야 하는데 우리의 민법은 그렇지 않다. 유럽契約法原則의 契約의 調整과 같은 구체적인 규정을 두고 있다. 요컨대, 유럽契約法原則이 우리 錯誤의 改正 方向에 示唆된 點은, 動機의 錯誤를 錯誤의 槪念에 포함하여 現實的으로 規律하면서, 救濟에 있어서는 원칙적으로 相對方의 事由를 要件으로 하고 예외적으로 錯誤者의 過失을 理由로 否定함으로써 錯誤者와 相對方의 利益을 調節한다. 그리고, 雙方의 錯誤에 적용될 수 있는 契約의 修正에 관한 근거 규정이 명문화되어야 한다는 점이다.

영문 초록

The principle of freedom of contract suggests that a party should be bound only when its consent to the contract was informed and free from constraint by the other party. While freedom of contract is an important value, it must be balanced against the need for security of transactions. The other party should in general terms be able to rely on the existence of the contract unless it has not acted in good faith or has taken deliberate advantage of the first party in circumstances in which standards of fair dealing would not permit this or has behaved carelessly or in some other way which was unreasonable. Another way of putting the point is in terms of risk. When making a contract, each party undertakes certain risks. Under the Principles of European Contract Law, a party which has entered a contract for a mistake as to the facts or law may avoid the contract, but only if it is shown in the light of a correct interpretation of the contract that the mistake was very serious and that the mistake was caused by information given by the other party, or that the other party knew or ought to have known of the mistake and it was contrary to good faith and fair dealing to leave the mistaken party in error, or the other party made the same mistake. Avoidance is not permitted if the mistake was inexcusable or if the mistaken party had assumed the relevant risk. Mistakes and misunderstandings over the terms of the contract due to errors in communication should also first be approached under the rules of interpretation. These may lead to one party's version of the terms being accepted as correct. If these rules do not resolve the matter, a mistaken party may avoid the contract subject to the same conditions as for mistakes as to fact or law. The normal remedy for mistake is for the party which is mistaken, or the one which wishes to escape from a contract entered under a shared mistake, to avoid the contract as a whole or in part. The mistaken party may also recover damages where the mistake was the result of incorrect information given by the other party, or where the mistake was or should have been known to the other party, or was caused by it. The contract may not be avoided if the other party is prepared to perform it in the way the first party understood it or, in cases of shared mistake, if the court can adapt it to bring it into line with what had been understood.
