국문 초록

본 연구는 벤처기업의 가치결정요인이 일반기업과 차이가 있는지를 검토하였다. 분석결과, 매출액, 연구개발지출, 공모주비율이 최종공모가격과 첫 거래일의 종가에 미치는 영향은 벤처기업이 일반기업보다 큰 반면, 최종공모가격과 첫 거래일의 종가에 대한 순이익, 영업현금흐름, 순장부가액, 매출액성장률의 영향은 벤처기업보다 일반기업이 더 큰 것으로 나타났다. 즉, 과거의 경영성과에 해당하는 순이익이나 현금흐름보다는 기업의 미래 성장가능성을 나타내는 변수가 벤처기업의 가치에 큰 영향을 미친다는 것을 알 수 있다. 이러한 연구결과는 벤처기업의 기업가치평가에는 연구개발지출의 중요성을 인식한 새로운 가치평가기법이 적용되어야 함을 시사하고 있다.

영문 초록

This study examines the differences of value drivers between venture and other companies at the time of their initial public stock offering. Especially, I focus on the role of the R&D expenditures. I examine the value drivers determining the final offer price and the stock price at the end of the IPO's first trading day. Venture firms are technology-intensive and different in the amount and type of information available for other firms. R&D expenditures, therefore, play more important role in determining the IPO offer price than other firms. So the search for value drivers of venture IPOs is important to entrepreneurs and investors. I identify factors that are considered important in setting the IPO offer price by examining value drivers underlying the IPO offer price and in pricing the IPO stock at the end of the first trading day. The results are as follows. Sales, the percentage of shares sold in the IPO, and R&D expenditures are stronger drivers for venture firms while earnings, positive operating cash flow, book value and sales growth are much stronger for valuing other firms. For venture firms, the performance variables such as earnings and operating cash flow play insignificant role in valuing IPOs.
