영문 초록

  Institutional Shareholders have been discipline publicly held corporation"s Corporate Governance in United States and England. Example, Institutional Shareholders change directors and officers that they invest corporations. And they present a guideline in Corporate Governance to their invest corporations. This trend will be proceeding as every year, because Institutional Shareholders have been more and more funds and Personal Investor have been more and more consign their money to Institutional Shareholder. So Institutional Shareholders have a strong power to discipline that pulblicly held corporations. The other way, Institutional Shareholder don"t disposal their secuirities at stock trading house, because securitites" price will be tending to fall that Institutional Shareholder" securities is a large quantity. So Institutional Shareholder learn to discipline Corporate Governance of publicly held corporation"s. As a result, this trend improve Corporate Governance. So We may have a Corporate Governance Guideline that Institutional Shareholder participate management discipline.
