독일의 ESG 관련 입법 동향

국문 초록

최근 세계적으로 환경, 사회, 지배구조를 고려한 기업경영에 대한 관심이 높다. 독일의 경우도 예외는 아니며, ESG 규제의 상당 부분은 EU의 규칙과 지침에 기반을 두고 있다. 또한 지속가능성, 기후변화, 재생에너지와 양성평등에 초점을 맞춘 다양한 독일 내 ESG 규제가 있다. ESG와 관련이 있는 모든 독일의 규제를 나열하는 것은 불가능하나 대체적으로 독일의 ESG 관련 법제는 EU규칙과 지침 및 독일 상법, 주식법과 같은 경성규범, 지배구조모범규준과 같은 연성규범의 조합으로 구성되어 있다. 한편 우리나라의 경우 현재 국회에서 논의되고 있는 법안들은 환경, 사회, 지배구조 전반에 대해 포괄적으로 논의하는 법안보다 각각의 영역에서 독립적으로 검토되고 있다. 환경, 사회, 지배구조 모든 영역에서 ESG 경영문화 확산과 ESG 공시제도 도입이 논의되고 있으나 ESG 투자는 탄소배출, 탈석탄과 같은 환경의 영역에 국한되어 논의되는 경향을 보이고 있다. 지배구조에 사회적 책임을 요구하는 법안은 확인되지 않아 지배구조 영역에 대한 더욱 활발한 정책·입법 제안의 필요성을 주장하는 견해도 있으나, 이 부분의 경성규범화의 지향은 전통적인 회사법원칙과 상충될 수 있어 신중한 검토를 요한다고 할 것이다. 요컨대 본 연구는 ESG 문제가 회사법제에 변화를 필요로 한다는 국제적인 인식이 확산되고 있는 상황에서 최근의 독일의 ESG 관련 법제 및 회사법적 논의를 소개하고, 그 시사점을 ESG 경영과 컴플라이언스 준수의무의 강화, ESG 관련 법제의 경성규범화, 주식법상 Say on ESG 도입론으로 세분하여 각 쟁점에 대하여 논하였다.

영문 초록

An increased interest in corporate governance that takes into account environmental (E), social (S) and governance (G) aspects is noticeable in the world. Germany is no exception, as much of the ESG regulation is based on EU regulations and directives. There is no exception in Germany, as much of the ESG regulation is based on EU regulations and directives. There are also various ESG regulations in Germany focusing on sustainability, climate change, renewable energy and gender equality. It is impossible to list all of ESG-related regulations in Germany, but in general, ESG-related legislation consists of a combination of EU regulations and directives, hard law such as German commercial law and stock law, and soft law such as DCGK in Germany. Meanwhile, the bills currently being discussed in the National Assembly are reviewed independently in each area rather than comprehensively discussing the environment, society, and governance in Korea. The spread of ESG management culture and the introduction of ESG disclosure systems are being discussed in all areas of environment, society, and governance, but ESG investment tends to be limited to environmental areas such as carbon emissions and coal phase-out. There are views that argue for the need for more active policy and legislative proposals. Nevertheless the orientation of hard law in this part may conflict with the traditional corporate law principle, so it will be carefully reviewed. The purpose of this study is to analyze the trend of ESG-related legislation in Germany as the main content and to present related implications. In a situation where international awareness is spreading that ESG issues require changes in corporate law, recent discussions on corporate law in Germany are introduced and direction for discussions on legalization is presented.
