중국의 사외이사제도 발전을 위한 개선 방안에 관한 고찰

국문 초록

사외이사제도는 기업경영의 효율적인 통제를 위해 도입되었으나, 최근 사외이사는 이사회에서 단지거수기 역할만 한다는 비판을 면하지 못하고 있는 실정이다. 사실상 사외이사제도가 기업지배구조의 핵심 메커니즘 중 하나임에도 불구하고, 사외이사제도는 여러 나라의 학자들과 기업지배구조 관련 기관들로부터 지속적인 관심과 우려의 대상이 되어 왔다. 그럼에도 불구하고 중국의 경우에도 수년간의 연구 노력의 결과 사외이사제도를 도입하여 운영하고 있다. 중국은 그간 상장기업을 대상으로 지배구조를 개선하는 노력을 하여 왔으나 아직까지도 여러 문제점을 해결하지 못하고 있는 실정이다. 주지하는 바와 같이 사외이사제도와 관련하여 사외이사의 독립성은 사외이사제도의 핵심으로서 사외이사가 제 기능을 수행하기 위한 전제 조건이다. 사외이사의 전문성은 사외이사의 가장 중요한 특징이자 사외이사의 올바른 직무수행의 핵심 요건이다. 특히 사외이사의 역할은 기업에 대한 감독자이자 의사 결정자, 조언자, 때로는 상호관계의 구축자 역할을 수행한다. 이러한 측면에서 사외이사제도는 기업지배구조의 중요한 요소인 것이다. 그러나 중국에 있어 사외이사제도는 그 실무상 제 역할을 만족스럽게 수행하지 못하는 것이 현실이다. 이는 중국의 현행 사외이사제도는 많은 문제점을 가지고 있으며 추가적인 개선이 필요한데에서 비롯된다고 할 것이다. 따라서 이 연구는 중국의 사외이사제도의 문제점을 분석한 후 그 개선방안을 제시하고자 한다. 특히 이 연구는 중국의 사외이사제도의 현행 문제점을 매우 구체적 분석하고 그에 따른 개선점을 제시함으로써 중국의 사외이사제도의 발전에 조금이나 도움이 될 것을 기대한다.

영문 초록

The independent director system was introduced for effective control of management. However, independent directors are criticized for failing to keep the purpose of the introduction and only serving as a show of hands on the board of directors. That, even though the independent director system is one of the core mechanisms of corporate governance, the independent director system has always been a hot issue concerned by scholars and corporate governance institutions in various countries. After years of development, the imported independent director system has taken its place in China. While improving corporate governance and improving the quality of listed companies, it also shows some inadaptability. Independence is the core and soul of the independent director system and the prerequisite for independent directors to function. Professionalism is an important characteristic of independent directors and the key to the correct performance of duties by independent directors. The role of an independent director is that of a supervisor, a decision maker, an advisor, and sometimes a relationship builder as the company wishes. The independent director system is an important component of corporate governance. Independence is the core and soul of the independent director system, and it is the prerequisite for independent directors to perform their functions; Professionalism is an important characteristic of independent directors and a guarantee for their independent performance of duties. The basic roles of independent directors are supervisors and decision-makers; At the same time, independent directors also serve as company advisors and relationship builders. This research proposes improving corporate governance: The improvement of China's independent director system can enhance corporate governance, promote standardized operation, and sustainable development of the company. This research proposes promoting the development of the capital market: The improvement of the independent director system can improve the transparency and information disclosure quality of listed companies, enhance investor confidence and participation, and promote the development of the capital market. This research also proposes enhancing international competitiveness: With the increasing influence of Chinese enterprises in the international market, the improvement of the independent director system can enhance the international image and competitiveness of enterprises, and better adapt to the challenges of global competition. This research proposes promoting the construction of the rule of law: The independent director system is an important component of corporate governance, and its improvement relies on the improvement and implementation of relevant laws and regulations, which helps to promote the construction of the rule of law. In addition, this study is expected to help the improvement of China's independent director system by analyzing the current problems of China's independent director system and presenting improvements accordingly.
