전자 선화증권 플랫폼의 법적 공백 해소를 위한 연구

국문 초록

종이 선화증권 발행에 대한 막대한 비용의 발생과 블록체인 등 기술의 발전으로 인하여 전자 선화증권 활용의 필요성이 점점 대두되고 있다. 전자 선화증권 사용을 위해서는 종이 선화증권과 동등한 법적 유효성을 인정받아야 한다. 이를 위해 관련 당사자들은 업계에서 개발하고 국제 P&I 클럽 그룹(IG Club)이 승인한 Bolero 플랫폼, TradeLens 플랫폼 등의 전자 선화증권 플랫폼의 다자간 법적 프레임워크를 활용하여 종이 선화증권과 동등한 법적 유효성을 확보하고 당사자들의 법적 지위를 인정받고 있다. 하지만 각각의 플랫폼들의 법적 프레임워크가 상이한 각 국가의 법률에 따라 법적 유효성을 달성하기 힘들다. 이러한 법적 공백 해소를 위해 플랫폼 내 법적 프레임워크에 로테르담 규칙이나 UNCITRAL 모델법을 반영 또는 자국법에 편입하여 활용할 수 있다. 이에 먼저 로테르담 규칙과 UNCITRAL 모델법을 분석한 후 각각의 전자 선화증권 플랫폼들의 법적 프레임워크와 로테르담 규칙과 UNCITRAL 모델법의 반영 여부를 살펴보고 이로 인하여 법적 공백을 해소하고 법적 유효성을 확립하였는지 분석하여 전자 선화증권 활성화에 기여함을 목적으로 한다.

영문 초록

Purpose : The purpose of this study is to examine the legal framework of electronic bill of lading platforms to utilize electronic bill of lading, and to contribute to the activation of electronic bill of lading by analyzing Rotterdam Rules and UNCITRAL Model Law methods to fill legal gap and establish legal validity. Research design, data, methodology : The research methodology used in this study is composed of literature review and data following a careful review of the Rotterdam Rule and the UNCITRAL Model Law in order to fill the legal gap and establish legal validity. In addition, each website and related documents and materials are thoroughly reviewed to analyze the electronic bill of lading platform. Results : In order to be recognized the legal validity equivalent to paper bills of lading when using electronic bills of lading, the relevant parties have developed by the industry and utilize multilateral legal framework for electronic bills of lading platforms such as the Bolero and TradeLens approved by the International P&I Club Group (IG Club), and this alone can fill the insufficient legal gap by reflecting the Rotterdam Rule or the UNCITRAL model law in the legal framework or by incorporating the Rotterdam Rule or the UNCITRAL Model Law into national law. Conclusions : This study provides implications for trade-related workers and stakeholders who want to utilize electronic bill of lading to utilize the electronic bill of lading platform, and it provides practical implications for whether the Rotterdam rule or the UNCITRAL model law is reflected in the legal framework and to achieve the legal validity of the electronic bill of lading by incorporating it into the national law.
