국문 초록
2011년부터 국내 상장기업을 대상으로 전면 시행된 한국채택국제회계기준(K-IFRS)에 의하여 연결재무제표 작성범위가 변경됨으로써 2010년에는 817개사에 불과하던 연결재무제표 작성회사가 2011년에는 1,227개사로 대폭 증가하였다. 과거 연결대상이었던 지분율 30%∼50% 보유 최대주주인 종속회사가 연결범위에서 제외된 감소 요인에도 불구하고 과거 한국회계기준(K-GAAP)에 따라 연결에서 제외되었던 50%초과소유 소규모회사가 2011년부터 연결종속회사에 포함된 것이 작성기업 급증의 주요인으로 파악된다. 2010년에는 연결재무제표를 작성하지 않다가 K-IFRS 도입으로 의무적으로 작성하게 된 기업들은 연결종속회사에 해당되는 소규모회사에 대한 회계정보를 연결재무제표에 공시하여야 하나 이와는 반대로 2010년 연결재무제표를 작성하다가 2011년부터 연결재무제표의 작성을 면제 받은 회사는 연결대상에서 제외된 종속회사에 대한 회계정보가 공시정보에서 누락되는 결과가 된다. 이러한 연결범위의 변경은 지배회사 개별실체의 회계정보의 질에 영향을 미쳤을 것으로 예상할 수 있다.
본 연구에서는 연결대상범위의 변경으로 인하여 연결재무제표를 통하여 제공되는 정보의 질적 수준 혹은 회계투명성이 영향을 받게 되는지를 실증적으로 검증하고자 하였다. 이러한 목적을 위하여 본 연구에서는 총 917개사의 표본기업을 연결재무제표 작성 대상의 변경여하에 따라 2010년 작성대상이었으나 2011년에 면제된 제1집단 31개사, 2010년과 2011년 연속하여 작성대상이 된 제2집단 532개사, 2010년에는 작성이 면제되었으나 2011년에 작성대상이 된 제3집단 354개사로 구분하고 각 집단별 발생액의 질을 비교하였다. 실증분석 결과, 2010년 연결 F/S 작성면제·2011년 연결F/S작성대상인 제3집단의 재량적 발생액의 변동성은 2010년에 비교하여 감소하였으며 연속적으로 연결재무제표를 작성한 제2집단에 비해 통계적으로 유의하게 낮은 것으로 확인되었다. 아울러 특수관계자와의 거래금액이 높을수록 이러한 현상이 두드러지는 것으로도 확인되어 과거 누락되던 소규모종속회사 관련정보의 추가편입이 발생액질의 개선에 주된 역할을 한 것으로 추론하였다. 이러한 결과는 K-IFRS의 도입이 연결재무제표 작성범위의 확대를 수반하면서 연결재무제표를 신규로 작성하게 된 기업집단의 회계투명성을 향상시키는 효과를 가져왔음을 시사한다.
영문 초록
The full-scale implementation of K-IFRS as of 2011 resulted in the dramatic increase in the number of companies required to prepare consolidated financial statements from 817 in 2010 to 1,227 in 2011, mainly owing to the changes in the scope of consolidated financial statements. Despite the exclusion of subsidiaries with the ownership of 30-50% from the scope, the substantial increase largely stems from the inclusion of SMEs with the ownership in excess of 50%, which were excluded from the scope under previous K-GAAP. Those companies newly required to prepare consolidated financial statements due to the inclusion of fully controlled small-sized entities must disclose the information concerning internal transactions as well as the effects of financial performance of consolidated subsidiaries from 2011. On the contrary, other companies, exempt from preparation of consolidated financial statements, do not provide information on their subsidiaries in their financial reports any more. These changes in the scope coupled with other environmental changes associated with the regime shift are hypothesized to have had an impact on the accounting transparency of controlling companies, as measured by the variation in the discretionary accruals derived from accrual prediction models.
In this paper, we compare the changes in the quality of accruals as measured by McNichols (2002) modified Dechow and Dichev (2002) model for the companies newly required to prepare consolidated financial statements with those of their counterparts required to prepare the statements on a consecutive basis and/or exempt from such requirements in 2011. A total of 917 listed companies are classified into three groups: group 1 consists of 31 firms, characterized by the exemption from the preparation of consolidated financial statements in 2011; group 2 consists of 532 firms which are required to prepare consolidated financial statements over the 2 years under study on a consecutive basis; and group 3 consists of 354 firms, which are subject to mandatory preparation of consolidated financial statement anew, albeit characterized by exemptions in 2010. The results of analyses show that the variation of discretionary accruals of the group 3 exhibit temporal decrease in 2011 relative to 2010. The level of accrual quality of group 3 firms is also higher than that of benchmark groups. These findings suggest that the inclusion of SMEs in the scope of consolidated financial statements is likely to have contributed to the enhancement of the accrual quality of controlling companies in general, and the group 2 firms in particular. We conclude that the expansion of the scope of consolidated financial statements helped improve the accounting transparency of those companies newly required to prepare consolidated financial statements, mainly due to the inclusion of related-party transactions in their consolidated financial statements.
