비지배주주 권리 확대 제도의 실효성에 관한 연구

국문 초록

본 연구는 비지배주주의 권리 확대에 따른 제도적 장치들이 대리인 비용을 통제할 수 있는지를 살펴보는데 목적이 있다. 구체적으로 비지배주주의 의결권을 집중함으로 이들을 대표하는이사를 선임할 수 있는 집중투표제와 비지배주주의 권리 보호제도인 서면투표제의 도입이 경영자의 감시 및 통제를 적절하게 수행하여 대리인 비용을 감소시키는지를 검증하여 이 제도들의실효성을 파악하고자 한다. 2002년부터 2012년까지의 유가증권상장기업을 대상으로 하여 집중투표제 및 서면투표제 도입유무와 대리인 비용의 대리변수인 자산효율성 및 사적소비율과의 관련성을 실증적으로 분석하였다. 실증분석결과, 집중투표제와 서면투표제는 자산효율성과 사적소비율 모두에서 유의한 음(－)의 영향을 미치고 있음을 보여주었다. 이는 집중투표제와 서면투표제가 기업의 자산효율성의증가에 기여하지 못한 반면, 경영자의 재량적 사적소비를 통제하고 있음을 알 수 있었다. 본 연구의 결과를 종합해보면, 집중투표제와 서면투표제는 기업이 재량적으로 도입할 수 있는 제도로서 대리인 비용의 감소에 어느 정도 긍정적인 영향이 있음을 제시하여 정책변경에 있어 시사점을 내포하고 있다.

영문 초록

The purpose of this paper is to verify whether the protecting system of minority shareholders’voting rights can control agency costs. Concretely, this paper examines the effectiveness of these systems by verifying whether or notthe introduction of the cumulative voting and the vote in writing which are the protectingsystems of minority shareholders’ voting rights can reduce agency costs through performing amonitoring and control of manager. We empirically test the relation of the cumulative voting and the vote in writing and assetturnover and perk consumption using firms listed on the Korean Stock Exchange for 2002－2012. The empirical results show that the cumulative voting and the vote in writing have a negativeeffect on both asset turnover and perk consumption significantly. This means while thecumulative voting and the vote in writing don’t contribute the increase in asset turnover, theycontrol perk consumption of manager. Overall, although the cumulative voting and the vote in writing are systems which firms canadopt discretionally, they can be political applications as having a positive effect on thereduction of agency costs.
