전자계약을 위한 eTerms 2004와 Guide To eContracting 개정에 관한 연구

국문 초록

연구목적: 전자계약협약을 논의하는 시점에 ICC는 협약의 형식보다는 가이드형식을 취하는 것이 합당하다는 이유에서 2004년에 별도의 eTerms 2004와 Guide To eContracting를 발표하였다. 그러나 제정된 이후에 별도의 개정작업이 이루어지지 않고 있는 상황에서 본 논문은 eTerms 2004와 Guide To eContracting의 내용을 살펴보면서 전자계약협약과의 합목적성을 유지하기 위한 개정방향을 논의함으로써 무역당사자들이 전자계약을 효율적으로 체결할 수 있도록 기여하는 것을 그 연구목적으로 한다. 논문구성/논리: 본 논문을 총 5개장으로 구성되어 있으며 제1장은 서론으로서 연구의 배경과 연구목적을 기술하고 있으며 제2장은 선행연구와 eTerms 2004의 도입배경을 설명하고 있다. 제3장은 eTerms 2004와 Guide To eContracting의 내용을 다루고 있다. 제4장은 eTerms 2004와 Guide To eContracting의 개정방향을 도출하고 있다. 제5장은 결론을 내리고 있다. 결과: e-Terms 2004의 제1조는 전자메시지를 통한 계약체결, 증거로서의 허용성, 전자메시지의 등가성을 언급하고 있는데 이러한 규정은 3개의 별도 조항으로서 개정되어야 하며 전자계약협약에 부합하게 개정되어야 한다. 제2조 송신과 발신의 경우에도 전자계약협약의 내용에 부합하게 개정되어야 한다. 청약, 청약의 유인 등에 대한 규정을 신설하여야 한다. Guide to eContracting의 경우에도 eTerms 2004의 채용과 관련된 표준약관과 표준 전자계약서를 예시하여야 한다. 독창성/가치: ICC가 2004년에 eTerms 2004와 Guide To eContracting을 발표한 이후에 별도의 개정작업이 이루어지지 않고 있는 상황에서 무역거래 당사자들의 전자계약체결의 용이성을 제고하고 eTerms 2004와 Guide To eContracting의 활용성을 제고함으로써 eTerms 2004와 Guide To eContracting가 전자계약협약과 전자계약관습간의 Gap-filler 역할을 수행할 수 있도록 하기 위해 eTerms 2004와 Guide To eContracting의 개정방향을 전자계약협약에 부합할 수 있도록 논의하고 있다는 점에서 본 논문의 독창성과 그 가치를 인정할 수 있다.

영문 초록

Purpose: At the time of discussing the E-Contract Convention, the ICC issued separate eTerms 2004 and Guide To eContracting in 2004, on the ground that it would be appropriate to take the form of the guide rather than that of the agreement. However, since no revisions have been made after enaction, this paper examines eTerms 2004 and Guide To eContracting and discusses the direction of revision to maintain its purpose in line with the E-Contract Convention. The purpose of the research is to contribute to the effective conclusion of e-contracts by the parties. Composition/Logic: This paper is composed of five chapters. Chapter I describes the background of the research and the purpose of the research as an introduction. Chapter 2 explains the previous research and the background of the introduction of eTerms 2004. Chapter 3 covers the contents of eTerms 2004 and Guide To eContracting. Chapter 4 derives the direction for revision of eTerms 2004 and Guide To eContracting. Chapter 5 concludes this paper. Findings: Article 1 of e-Terms 2004 addresses contractual agreements through electronic messages, acceptance as evidence, and equivalence of electronic messages. These regulations should be revised as three separate provisions and in accordance with the E-Contract Convention. Article 2 which is about the dispatch and receipt should be amended in conformity with the contents of the E-Contract Convention. And, regulations on offer and invitation to offer should be established. Guide to eContracting should also exemplify the standard terms and conditions and standard electronic contracts relating to the adoption of eTerms 2004. Originality/Value: To increase the ease of eCotracting by trade parties and to enhance the usability of eTerms 2004 and Guide To eContracting, and to enable eTerms 2004 and Guide to eContracting to serve as a gap-filler between the E-Contract Convention and the e-contract practice, the direction of revisions of eTerms 2004 and Guide To eContracting in line with E-Contract Convention has been discussed. In this regard, the originality and value of this paper could be acknowledged.
