국문 초록

2018년은 남북관계가 실로 대전환기를 겪고 있다고 해도 과언이 아닐 만큼 큰 진전을 보이고 있으며, 이러한 해빙분위기에 힘입어 양국 간 경제협력을 위한 사업도 철도⋅도로와 같은 사회간접자본(SOC) 및 광물자원을 중심으로 한 에너지 분야 등에서 활발히 추진되고 있다. 이에 남북경협에 따른 대규모 통일사업의 수행에 필요한 재원조달과 관련하여 그 비용이 큰 것도 문제지만 이를 어떻게 조달할 것인지가 중요한 문제로 부각되고 있다. 일각에서 남북이 공동으로 해외 차관을 들여오는 방안, 아시아개발은행(ADB) 등 국제금융기관의 투자를 유치하는 방안이나 한국이 개발권을 넘겨받는 조건으로 사업자금을 지원하는 방안 등이 제기되고는 있으나, 어느 것도 충분하거나 구체화되어 있는 실정은 아닌 것으로 보인다. 이에 본고는 통일사업의 재원조달을 위한 기업형태 모색의 차원에서 지분의 공개거래를 통해 자금조달이 용이하면서도 투자자입장에서는 ‘조합’으로서 이중과세를 회피하는 과세이연의 효과를 누려 더 많은 수익을 실현 또는 확보할 수 있는 수단으로 미국법상 마스터 합자조합(Master Limited Partnership; MLP)의 활용가능성을 타진해 보고자 한다. 이를 위해 본 고는 미국법상 MLP의 개념 등 그 연혁을 간략히 개괄하고, 구성원의 책임과 권한 및 지분등 일반구조를 검토한 후, 수익분배의 측면과 세제 및 자본조달상의 본질적인 특징을 도출함으로써 논의의 토대를 마련하였다. 이어 MLP 경영진에 대한 신인의무(fiduciary duties)의 적용여부와 관련된 미국의 법리 및 판례를 분석하고, 우리 법제 하에서 MLP가 투자자보호를 위한 최소한의 장치를 두면서 그 본래적 기능에 따른 역할을 발휘할 수 있는 방안을 제시하고 있다.

영문 초록

It is no exaggeration to say that inter-Korean relationship is undergoing a major transition since its making a great progress. Due to this peaceful atmosphere, projects for economic cooperation between the two countries are also actively being carried out in the energy fields focusing on mineral resources and Social Overhead Capital (SOC) such as railroad and road. With regard to fundraising the large-scale of reunification businesses, not only the cost but also the way to finance the businesses became significant issue. Some suggested measures like South and North jointly bring in foreign loans, attracting investment from international financial institutions such as Asian Development Bank (ADB), or supporting finance in exchange for South Korea’s right to develop. However none of these measures seem to be sufficient or concrete. This article suggests Master Limited Partnership (MLP) as a way to finance reunification businesses by permitting public trading of its ownership. Also, in nvestor’s perspective, it could be a way to realize or secure more profits by enjoying the effect of pass-through taxation as a ‘partnership.’ For this purpose, this article briefly outlines the history of MLP under the U.S. law, examines the general structure of its member’s responsibilities, rights and ownerships, and discusses the aspects of profit distribution along with essential features of taxation and capital procurement. Subsequently, this article analyzes the U.S. jurisprudence and case laws relating to the application of fiduciary duties to the MLP executives. As a goal, it explores the applicability of the U.S. MLP model to the Korean legal system by suggesting measures which MLP provides a minimum device for investor protection and at the same time exerts its role according to the original function.
