국문 초록

  본 연구에서는 우리나라 중소기업을 대상으로 지배구조가 기업혁신에 어떠한 영향을 미치는지를 파악하고자 한다. 대리인 이론을 바탕으로 본 연구는 경영진이 주식을 소유할 때, 벤처캐피탈의 주식소유가 많을수록, 이사회 규모가 적정 수준일 때, 사외이사의 비중이 높을 때, 그리고 종업원 주식소유가 많을수록 기업혁신이 증가하는지를 규명하고자 한다. 또한 본 연구는 조직학습이론 및 기업혁신에 관한 기존연구들을 바탕으로 기업혁신의 증가가 미래 수익성 및 시장성과를 향상시킬 수 있는지를 실증적으로 검증하고자 한다. 2006년 11월부터 12월까지 대구ㆍ경북지역에 소재하고 있는 241개 제조 중소기업으로부터 설문자료를 수집하여 분석한 결과 경영진, 종업원 및 벤처캐피탈의 주식소유는 기업혁신과 긍정적으로 유의한 관계를 가지는 것으로 나타났다. 또한 이사회 규모는 기업혁신과 긍정적으로 유의한 관계를 가지는 것으로 나타났으나, 이사회 규모가 일정 수준을 넘으면 기업혁신과 부적으로 유의한 관계를 가지는 것으로 나타났다. 특히 기업혁신은 미래성과와 긍정적으로 유의한 관계를 가지는 것으로 나타났다. 본 연구에서는 실증연구 결과의 이론적 및 실무적 시사점과 향후 연구의 방향도 함께 논의하고 있다.

영문 초록

  This study identify the relationship with the CE and the executives" stock ownership, the venture capital ownership, the size of the board, the representation of outside directors, and employees" stock ownership in Korean SMEs. In addition, this study will identify the relationship between CE and future performance. To test the hypotheses, this study conducted a questionnaire survey on 241 SMEs with at least 8 years of industrial activity since establishment at Daegu City and Gyungpook Province in Korea from November through December 2006. The major results from the study showed that most of the hypotheses on the CE were generally supported. Executive stock ownership, employee stock ownership, and venture capital ownership were significant and positively associated with CE (product innovation, process innovation, organisational innovation, international venturing, domestic venturing). Board size was positively associated with the five CE measures, and the board size squared measure was significant and negatively associated with CE. Research results also suggested that CE was positively and significantly associated with company performance measures.
