해상보험계약상 영국법 준거약관에 관한 국제사법적 고찰

국문 초록

  우리나라 해상보험 거래에서는 해상보험의 국제적 성격과 관련하여 영국의 해상보험약관을 사용하여 보험계약을 맺고, 그 약관에 있는 준거법약관을 그대로 원용하고 있다. 선박보험의 협회기간약관에서는 “이 보험은 영국의 법률 및 관습에 따른다”라는 준거법약관이 명시되어 있으나, 적하보험의 협회적하약관에서는 “이 보험증권의 규정또는 이 보험증권에 첨부된 어떠한 반대규정에도 불구하고 이 보험은 모든 보상청구에 대한 책임 및 결제에 관해서만은 영국의 법률과 관습에 따를 것을 합의한다”라는 문언을 사용하고 있어 이에 관한 해석상의 대립이 야기되었다.
  영국법 준거약관에 관하여 우리나라에서는 이를 저촉법적 지정의 전부지정설과 부분 지정설로 보는 견해와 실질법적 지정으로 보는 견해로 나뉘어져 있다. 즉, 영국법 준거 약관에 의하여 보험계약의 성립, 효력과 해석 등 계약의 실질의 문제 전부에 대한 저촉법적 지정으로 보는 전부지정설, 준거약관의 문언상의 차이를 이유로 이를 보험계약에 따른 책임의 문제에 한정된 준거법으로 보고 그 외 성립 등의 문제는 다른 법(우리 법)을 따른다고 하는 부분지정설, 그리고 당해 보험계약에 대하여는 당사자가 준거법을 선택하지 않았으므로 우리 법이 당해 보험계약의 객관적 준거법이 되고, 다만 책임에 따른 문제는 영국법에 따른다는 실질법적 지정설로 나뉘어 견해가 대립하고 있다.
  이와 같이 해상보험계약에서 사용되고 있는 영국법 준거약관에 관하여 견해가 나뉘어 대립하고 있으나, 이러한 영국법 준거약관이 전면적으로 유효한지 아니면 일부 범위 내에서만 유효한지에 관하여는 이를 일률적으로 해석할 수는 없으며, 계약체결당시의 당사자의 의사, 편입된 영국법 준거약관의 내용, 해상보험거래업계에 있어서의 관행, 양 당사자의 계약체결당시의 체결 교섭력의 강약 등의 여러 요소에 의하여 종합적으로 판단하여 이를 전면적으로 인정 또는 부인할 것인지 아니면 일부 범위 내에서만 그 효력을 인정할 것이지를 신중히 판단하여야 할 것으로 생각한다.

영문 초록

  A contract of marine insurance is a contract whereby the insurer undertakes to indemnify the assured, in manner and to the extent thereby agreed, against marine losses, that is to say, the losses incident to marine adventure. And the document embodying the contract of marine insurance is called a "policy", and a contract of marine insurance is inadmissible in evidence unless it is embodied in a marine policy in accordance with Marine Insurance Act.
  Marine policies, though commonly in one form, are of different kinds, and are known by different names, such as Institute Time Clause-Hulls and Institute Cargo Clauses (A), (B) and (C), which are widely used throughout the world.
  One the other hand, there are the English law and practice clause in these Institute Clauses. The positioning of the English law and practice wording in the Institute Clauses means that any disputes emerging from legal cases on marine insurance contracts should be governed and construed according to English law and practice.
  However, the ITC-Hulls contain the specific reference to choice of law so called English law and practice clause in a prominent position immediately after the headline describing the particular clauses : "This insurance is subject to English law and practice", while the ICC (A), (B) and (C) use recently another wording of English law and practice : "Notwithstanding anything contained herein or attached hereto to the contrary, this insurance is understood and agreed to be subject to English laws and practice only as to liability for and settlement of any and all claims".
  Hence, differences of opinion can arise as to the interpretation of insurance clauses, especially ICC (A), (B) and (C), as the clause are containing the restrictive wording such as "only as to liability for and settlement of any and all claims". In respect of legal nature of English law and practice clause used in the marine insurance contracts, there are two different opinions which regarded it as "choice of proper law" and "incorporation by reference". So it is necessary to review these opinions by considering synthetically all possible materials concerning contracts.
