영문 초록

This study has the objective of making researches in the fruit of our efforts in the field of French Commercial Law which was enacted in 1807. Only a few legal scholars have made a study of scholarly attainments in a category of French Commercial Law. In the course of this study, it can be found that there has been a considerable result as to the research into French corporate law and commercial act law. And besides the valuable outcome of research work has come into being in the sphere of insurance law and competition law. Among various results that we have obtained, the study on French corporate governance looks to advantage. The theory on French corporate governance has developed without any influence for a long time. But recently american corporate governance has played an important role in the formation of its French theory. With respect to the future prospect of the study on French Commercial Law, ADR system used for the settlement of commercial conflict should be deeply investigated. The remarkable characteristic of French corporate governance is the absence of diverse investors. In short, both the government and banks own the controlling interests in most of the French corporations. In general, it is very difficult to understand the reason why the state plays an important role in corporate governance. The fact that French companies are mainly controlled by the state is due to the French customs and tradition of educational system of Grandes Ecoles which are very famous for fostering the French intellectual elite. And another striking fact about French corporate governance is that French directors are very powerful as compared with the other nations' directors.
