영문 초록

In an economy dominated by a comparatively small number of large companies the corporate power of them has crucial influence on society. So there has been a debate in relation to issues of corporate social responsibility in many disciplines. And they are also part of the subject matter of law. In jurisprudence there are pros and cons in relation to legal recognition of corporate social responsibility. The pros assert that the public interest is the foundation of corporate legitimacy, because private power can be justified only when it is exercised in the context of social welfare. But cons assert that the aim of company is maximization of shareholder's or company's wealth, and society's wealth can be maximized by maximization of shareholder's or company's wealth. From the viewpoint of pros this paper examines theoretical foundation, necessity and schemes of revitalization of the social function of shareholder's rights, in that there are difficulties in putting corporate social responsibility in practice by other corporate constituency not holding appropriate means or rights in company.
