영문 초록

The Korean theories on the methods of the contract interpretation are heavily influen ced by the German jurisprudence. So in Korea, it is conventional to explain the methods of the contract interpretation in terms of natural interpretation(natürliche Auslegung), normative interpretation(normative Auslegung) and supplanting interpretation(ergänzende Auslegung). But in recent days, such international rules as CISG, PICC and PECL have specific provisions on contract interpretation distinct from the Korean theories. This paper tries to reconstruct the theory on the method of contract interpretation in light of such international rules and the judicial practice. As a result, the methods of contract interpretation should be proceeded in 5 steps. The first step in contract interpretation is interpretation according to the text. The second step is objective interpretation, that is, the interpretation considering all relevant circumstances. The third step is subjective interpretation, deciding which party's under standing of contract should be regarded as reasonable. The fourth step is normative in terpretation. That means the court should find the meaning of the contract from norma tive perspective when the real intention of the parties is unclear. The last step is supp lanting interpretation, supplying an omitted term that is inferred from the parties' real intention, the nature and purpose of contract and good faith and fair dealing.
