법인전환 동기에 관한 실증연구

국문 초록

본 연구의 목적은 개인기업에서 법인기업으로 전환하는 기업들의 동기를 조사하는데 목적이 있다. 분석결과 법인전환 방법으로 많은 기업들이 사업양도․양수에 의한 방법을 사용하고 있었다. 또한 법인전환과정 장애요인에 대한 분석에서 창업비용과다항목, 조세부담, 자금부담은 자본금규모에 따라 집단간에 차이가 있었고, 산업별로는 설립절차의 복잡성과 창업비용의 과다의 측면에서 집단간 인식이 차이가 있는 것으로 조사되었다. 법인전환 동기에 대한 요인분석 결과 경영관리동기, 이미지 제고동기, 자본조달동기, 조세절감동기 및 유한책임동기 등의 5요인으로 묶였으며, 이들에 대해 집단별 차이를 분석하였다. 분석결과 산업에 따라 조세동기요인에서 평균차이를 보였으며, 자본금규모별을 기준할 때는 경영관리요인, 이미지요인, 조세동기요인에 대하여 차이를 보였다. 한편 법인전환형태별로는 조세동기요인에서만, 개인기업 운영기간별 차이에서는 조세동기요인에서 대하여만 차이가 있는 것으로 나타났다. 본 연구는 중소기업의 발전을 위하여 실무적인 중요성을 갖지만 중소기업 가운데 과거 개인기업에서 법인으로 전환된 기업을 대상으로 실태분석을 하였다는 점은 학술적인 의의가 있다. 그러나 우리나라의 중소기업이 법인전환방법으로 대부분 사업양수방법을 이용하고 있으며, 현물출자 방식을 이용하는 경우는 매우 희소한데 이러한 상황이 표본에도 반영되어 법인전환 방법간 차이를 비교할 수 있는 충분한 사례가 확보되지 못한 한계를 지니고 있다.

영문 초록

We perform the empirical analysis regarding the motive of the private enterprise converted into the corporation and whether, the originally intended purpose, is accomplished after the conversion and the difficulties in the process of conversion into the corporation through the survey in this study. According to the analysis, most of the enterprises are surveyed to be converted into the corporation by the business purchase and sale and being supported by the tax accountant or expert. If appraising the private enterprise s assets at the time of conversion into the corporation, they are appraised according to the book value in most cases. They respond that simple legal establishing procedure and free and quick decision-making regarding the reason of the establishment in the form of private enterprise. This study is expected to have some academic meaning in that the academic background regarding the private enterprises converted into the corporation is arranged, which has been regarded in the working level for the development of small and medium-sized company, but relatively disregarded in terms of academy, and the empirical analysis on the private enterprises converted into the corporations are performed. However, this study has some logical problem in that it is limited to the empirical analysis without setting any refined models.
