국문 초록
국제상거래는 민간 영역에서 이루어진다는 점에서 당사자 자치의 원칙에 입각하고 있다. 이에 따라 언어, 관습, 문화가 다른 당사자 간의 거래로 인하여 여러 가지 갈등의 소지를 품고 있는 것이 사실이다. 이에 따라 오래 전부터 국제 거래로 말미암는 불확실성을 줄이고 거래의 안정성을 확보하기 위한 노력이 존재하였고 이는 공통의 거래 관행을 초래하였다. 그런데 교통수단 및 통신수단의 발전 그리고 국가 간 관계의 밀접성 증대로 인하여 사인 간 거래의 필요성은 꾸준히 증가하게 되었고 국제상거래의 통일적 규율의 필요성이 본격적으로 제기되기에 이르렀다. 하지만 국제사회 내에는 통일적인 입법기관과 사법기관이 부재하고 있다는 점에서 당해 규율의 현실화는 어려울 수밖에 없다. 그러함에도 유럽연합의 경험은 우리에게 시사하는 바가 작지 않다. 유럽연합은 국가가 아닌 지역공동체로서의 위상을 보유하고 있음에도 민사법 분야에서의 통합을 유효하게 진행하고 있는데, 이는 유럽연합이 국가와 유사한 권한과 기능을 보유하고 있기 때문이다. 민사법 통합의 관건은 국가의 참여의지에 달려 있다고 볼 수 있는 것이다. 이와 같이 국제상거래 통합의 필요에 따라 국가들이 나서서 국제조약을 체결하기에 이르렀는데 「국제물품매매계약에 관한 국제연합협약(United Nations Convention on Contracts for the International Sale of Goods: 이하 CISG)」이 그것이다. 조약 자체가 주권국가들의 자발적인 참여와 준수를 요구하기 때문에 당해 CISG 역시 당사국들의 적극적인 협조가 선행되어야 함은 물론이다. 하지만 국제상거래는 결국 당사자들의 자율적인 합의에 근거한다는 점에서 CISG 역시 여전히 다각적인 접근이 요구된다. 유럽연합의 경우와는 달리 아직 자기완비적 체제를 확보하지 못한 국제사회로서는 여전히 당사자 간 합의가 보다 중요하다는 국제상거래의 본질, 즉 국제상거래의 속성을 부인하기는 쉽지 않다. 국제상거래법의 통일적인 규율을 시도하는 측과 법의 분화가 바람직하다는 측간에 줄다리기(tug-of-war)가 여전히 유효하게 존재하고 있는 것이다. 하지만 CISG의 통일적인 해석과 적용을 통하여 국제상거래의 안정적인 규율과 관리가 가능하다는 점에서 보다 국제상거래법의 통합을 위한 입장이 타당하다고 생각된다. 다만, CISG는 국제상거래라는 독특한 영역에서의 국제조약이라는 점에서 국내법으로의 도입 양상, 즉 직접적용에 있어서 독특한 점을 보이고 있다. 그렇다면 국제거래법의 특성을 고려하는 보다 적극적이고 공격적인 대응이 요구되는 것이 사실이다.
영문 초록
International commerce is based on the principle of private autonomy in that it happens in the private sector. As a result, it is true that there are many conflicts between parties because of different languages, customs and cultures and so on. As a result, there had been various efforts in order to reduce uncertainty and to ensure the stability of transactions in the level of international sphere, which resulted in common trading practices. However, due to the development of means of transportation and communication and the close relationship between countries, the need for transactions between private persons is steadily increasing, and the need for unified regulation in international transactions is also increasing. However, considering that there are no unified legislative and judicial bodies in the level of the international community, it is difficult to adopt the unified regulative systems. Nevertheless, the European Union s experience suggests a lot to us. In other words, the European Union is effectively carrying out integration in the field of civil code, only with similar authority and functions as a nation, even though it has a status as a regional community(sui generis entity), not a state. It is reasonable to say that the key to the integration of civil code belongs to the willingness of the state to participate in. As such, the United Nations Convention on Contracts for the International Sale of Goods (CISG) was the result of states’ efforts to make international treaties in accordance with the need for integration of international transactions. Since the treaty itself is made by voluntary participation of sovereign states, the CISG had to be made by progressive cooperation from the parties concerned. However, CISG still has many limitations and problems, given that international transactions are ultimately based on the parties autonomous agreements. Unlike in the case of the European Union, it is still difficult for the international community, which has not been able to secure a self-contained regime, to deny the nature of international commerce based on the agreement between the parties. A tug-of-war still exists between one part who attempt to unify or converge the rules of international commerce and the other part who wish to disperse or diverge the concerned rules. However, the unified interpretation and application of the CISG makes it possible for international community to obtain a stable regulation and management of international transactions. However, CISG is unique in its entering into domestic law, i.e. the matter of its direct application, in that it is possible to postulate that CISG is the international treaty exists in the unique realm, namely in the international commerce area. Therefore, a more active and aggressive action is required to tackle the matters related to the issues of CISG.
