공공조달계약과 조달청의 나라장터 종합쇼핑몰 거래정지 조치에 관한 소고

국문 초록

대법원 2018. 11. 29. 선고 2015두52395 판결은 조달청장이 물품구매계약 추가특수조건에 따라 계약상대자에게 행한 나라장터 종합쇼핑몰 거래정지 조치를 항고소송의 대상인 행정처분이라고 하였다. 계속해서 대법원은 공공조달계약의 성격을 국가 등이 사경제의 주체로서 상대방과 대등한 지위에서 체결하는 사법상의 계약으로서 본질적인 내용은 사인 간의 계약과 다를 바가 없다고 판시하여 왔다. 본 대법원 판결은 조달청장이 사법상의 계약인 물품구매계약 추가특수조건에 기한 행위를 처분성을 인정한 것이다. 이에 대해서 국가 등의 공공조달계약의 성격이 사법상 계약인지 의문이 들었다. 오히려 행정법학계의 다수 의견처럼 공공조달계약이 사인간의 계약과 동일하다고 할 수 없는 중대한 특수성이 있다. 공공조달계약은 국가계약법의 공법적 성격, 공공조달계약의 목적, 그 규모 등에 비추어 공법의 성격을 가지고 있다. 특히 국가 등에 대해서 민사특별법인 약관규제법상의 사업자의 설명의무가 적용하여 규제하기 어려운 점 등에 비추어 공공조달계약이 단순히 사법상의 계약으로 국민의 권익을 지킬 수 없다고 할 것이다. 특히 전자조달법 등의 규정이 국민의 권리의무에 영향을 끼지는 점, 계약상대자의 권리구제가 확대되어야 한다는 점, 조달청장의 업무의 법치행정의 원리가 적용되어야 한다는 점에서 대법원이 나라장터 종합쇼핑몰 거래정지조치를 행정처분으로 보는 것이 큰 의미가 있다. 본 판결이 조달청장의 나라장터 종합쇼핑몰 거래정지 조치를 처분으로 인정함으로써 국민의 권리의무에 영향을 미치는 공공조달계약업무에 있어서 투명성과 공정성을 향상시키는 데 기여하였다고 생각한다.

영문 초록

The Supreme Court Decision 2015DU52395 decided on November 29, 2018 concluded that Director of Public Procurement Service suspending Korea On-line Marketplace Complex Shopping Mall against contract counterpart—according to the additional special terms & condition of the goods purchase contract—is an admini- strative disposition which is the subject of appeal litigation. Continuously, the Supreme Court have judged that fundamental contents are no different from the contract between private persons as it is a judicial contract signed with the opponent on equal footing set up under private party of the state, or the characteristics of public procurement contract. This Decision of the Supreme Court has acknowledged the disposition of the Director of Public Procurement Service’s consideration upon the additional special terms & condition of the goods purchase contract, a type of judicial contract. Here, the question arose whether the characteristics of public procurement contract of the state are judicial contract. The public procurement contract rather has a very distinct characteristics that cannot be determined as the same with the contract between the private persons—like what the most specialists in administrative law suggest. The public procurement contract has the characteristic as public law of the state contract act, has the purpose of public procurement contract, and has the characteristics of public law when considering its scale. In particular, based on the difficulty of controlling the state due to the application of the legal entity’s duty to explain under the Terms and Conditions Regulation Act, one of the civil special acts, it disproves the fact that public procurement contract can protect the people’s right only as a civil law (judicial) contract. To be specific, it is a great significance that Supreme Court considers the trading suspension measure of Korea On-line Marketplace Complex Shopping Mall noting the following facts: 1) the fact that regulations such as electronic procurement act effects the people’s duty and right; 2) the fact that the contract counterpart’s right should be protected more; 3) and the fact that the task of the Director of Public Procurement Service—in accordance to the principle of public law education—should be applied. Acknowledging the suspension measure of the Korea On-line Marketplace Complex Shopping Mall by the Director of Public Procurement Service as the disposition, it is believed that this decision will contribute to improve the transparency and fairness as an influence on public procurement contract business of the people’s duty and right.
