회생담보권조사확정재판이 계속 중인 채권자의 견련파산절차상 지위

국문 초록

회생담보권은 파산절차에서 별제권과 유사하지만, 담보권 그 자체는 아니고 채무자의 특정재산에 의하여 담보되는 채권이다. 별제권은 파산절차의 제약을 받지 않고 개별적으로 권리행사를 할 수 있지만, 회생담보권은 개별적인 권리행사를 할 수 없고, 회생채권과 마찬가지로 원칙적으로 회생계획에 따라 변제를 받을 수밖에 없다. 별제권은 파산채권과 같이 신고·조사절차를 거치지 않고 행사할 수 있다. 반면에 담보권이 회생담보권으로 인정되기 위해서는 관리인의 회생담보권자 목록작성, 회생담보권자의 신고, 회생담보권 조사확정재판 및 이의의 소의 절차를 통해 확정되어야 한다. 또한 회생계획인가결정이 있는 때에는 회생계획에 담보권 자체의 존속을 정하지 않으면 담보권은 소멸하고, 회생담보권자의 권리는 회생계획에 따라 변경된다. 이는 회생계획인가결정 후 파산절차로 이행된 경우에도 마찬가지이다. 회생계획인가결정의 효력은 회생절차가 폐지되더라도 영향을 받지 않기 때문이다. 따라서 회생계획인가결정 후에 파산절차로 이행된 경우, 회생계획에 담보권의 존속 규정을 두고 있는 때에는 회생담보권은 별제권으로 취급된다. 이점을 고려할 때, 제6조 제1항에 의하여 파산이 선고된 경우에 그 파산절차에서의 파산채권 또는 별제권의 존재 여부와 범위는 채권자의 권리가 종전 회생절차에서 회생채권과 회생담보권 등으로 확정된 다음 인가된 회생계획에 따라 변경되고 파산선고 당시까지 변제되는 등의 사정을 모두 반영하여 정해져야 한다는 대상판결의 태도는 타당하다.

영문 초록

A rehabilitation security right is similar to the right of separation in bankruptcy proceedings, but the right itself is not a security right, but is a claim secured by the debtor’s specific property. The right of separation can be exercised individually without being restricted by bankruptcy procedures, but a rehabilitation security right cannot be exercised individually, and, as in the case of a rehabilitation claim, in principle, the debt can be received only in accordance with the rehabilitation plan. Like a bankruptcy claim, any right of separation can be exercised without reporting and claim allowance procedures. On the other hand, in order for a security right to be recognized as a rehabilitation security right, it must be confirmed through the manager’s listing of rehabilitation secured creditors, reports from the rehabilitation secured creditors, claim allowance proceedings for the rehabilitation security right, and appeal proceedings. In addition, when the authorization for the rehabilitation plan has been granted, the security right is extinguished if the continuation of the right itself is not prescribed in the rehabilitation plan, and the rights of the secured creditors are changed according to the rehabilitation plan. This also applies to cases where bankruptcy proceedings are implemented after the rehabilitation plan is authorized. The reason is that the effect of the decision to grant authorization for the rehabilitation plan is not affected even if the rehabilitation procedures are abolished. Therefore, in cases where bankruptcy procedures are implemented after the rehabilitation plan is authorized, if the plan provides for the continuation of the security right, the rehabilitation security right is treated as the right of separation. In consideration of these, the Supreme Court Decision 2018Da28994 dated on January 28, 2021, which held that, in cases where bankruptcy is declared pursuant to Article 6(1), the existence and scope of the bankruptcy claims or the right of separation in the bankruptcy proceedings should be determined by reflecting all the circumstances, such as the changes in the creditor’s rights after the rehabilitation claims and the rehabilitation security rights, etc. are confirmed in the previous rehabilitation proceedings, and the repayment status until the time the bankruptcy is declared, is deemed reasonable.
