대표이사의 이사직 겸임이 기업의 투자효율성에 미치는 영향

국문 초록

본 연구는 대표이사의 이사직 겸임이 투자효율성에 미치는 영향을 분석함으로써 대표이사의 업무 능력이 기업성과변수에 미치는 영향에 대한 구체적 증거를 제시하여 회계정보이용자들에게 유용한 정보를 제공하는데 목적이 있다. 이를 위해 본 연구는 2011-2016 코스피 기업을 대상으로 하여 국외 선행연구에서 제시된 가설을 바탕으로 대표이사가 여러 기업에서 등기이사로 임명된 경우를 ‘이사직 겸임’으로 정의하고, 투자효율성 측정치를 종속변수로 하는 회귀분석을 실시하였다. 연구결과, 대표이사가 겸임을 하는 기업은 그렇지 않은 기업보다 투자효율성이 높은 것을 확인하였으며 대표이사의 이사직 겸임 수를 활용한 분석에서도 겸임하는 이사직의 수가 증가할수록 투자효율성은 증가하였다. 투자효율성에 미치는 영향을 구체적으로 검증하기 위해 투자효율성 측정치를 과잉투자와 과소투자로 구분하여 분석한 결과, 대표이사의 이사직 겸임 수 증가는 과잉투자를 유의하게 감소시키는 것을 확인하였다. 본 연구는 대표이사의 이사직 겸임이 투자효율성에 미치는 영향을 실증분석한 국내 최초의 연구로서 대표이사의 이사직 겸임에 대해 국내 자료를 바탕으로 분석을 수행하였다는 점에서 의의가 있다. 더하여 이사직 겸임 수의 증가에 따른 투자효율성 변화뿐만 아니라 과잉투자와 과소투자를 구분하여 분석하였다는 점에서 기존 연구와 차별성을 갖는다.

영문 초록

The purpose of this study is analyzing the effect of the Representative director on investment efficiency. Through this analysis, this study aims to present concrete evidence of the influence of the representative director’s ability on corporate performance variables. To this end, this study defined the case where the representative director was appointed as a director in several companies based on the hypothesis posed in previous international studies, and conducted a regression analysis using the investment efficiency measure as a dependent variable. As a result, it was confirmed that firms with representative director with multiple directorships are more efficient in investment than those without. The analysis shows that the number of directorships also helps increase investment efficiency. As a result of dividing the investment efficiency measures into over-investment and under-investment in order to verify the effect on investment efficiency, it was confirmed that the increase in the number of directorships of the representative director decreases over-investment. This study differs from previous researches in that it analyzes over-investment and under-investment separately as well as changes in investment efficiency due to the increase in the number of directorships.
