국문 초록

오늘날 주식회사는 개인이 일상생활의 대부분을 보내는 생활공간이자, 한 가족이 생계를 꾸려갈 수 있는 소득을 얻는 중요한 원천이며, 한 국가의 정치와 경제, 그리고 사회⋅문화에도 커다란 영향을 미치는 존재가 되었다. 주식회사는 사회에 재화와 용역을 공급함으로써 인류생존의 물질적인 기초를 제공하고 고용을 창출하여 가계에 소득을 제공하는 경제적 역할을 수행한다. 나아가 많은 국민들이 주식회사에 취업하여 이른바 회사원 으로서 성년 이후 인생의 많은 시간을 보낸다는 사실을 고려하면, 주식회사는 그 구성원에게 행복의 조건으로 작용하고, 구성원의 인격형성과 자아실현에도 큰 영향을 미치는 존재라고 말할 수 있다. 이 글은 주식회사가 사회에서 차지하는 지위와 역할을 살펴보고, 이에 기초하여 자본과 함께 노동하는 사람을 인식하고 배려하는 회사법을 위한 시론적인 제안을 하였다. 우선 회사의 조직과 활동에 관한 모법(母法)이라고 할 수 있는 회사법이 근로자의 지위를 구성원으로 인식하고, 주식회사의 경영자는 회사의 경영상의 의사를 결정함에 있어서 주주의 이익뿐만 아니라 근로자의 이익까지 포함한 회사 자체의 이익을 고려해야 한다고 주장하였다. 그리고 주주뿐만 아니라 근로자를 포함한 모든 구성원들이 주식회사의 경영과 이익분배 등의 의사결정에 참여할 수 있는 민주적인 절차를 마련하는 것이 중요하다는 점을 강조하였다.

영문 초록

Business corporation is a firm which organizes social production with the combination of labor and capital. Shareholders and employees provide a business corporation with physical and human capital, and they organize profit-making activities and gain income from it. Many people are workers of business corporations, and spend much time in a corporation with their corporate colleagues. Therefore, the business corporations play a critical role in formation and realization of the personality of employees. Based on the recognition of these social roles of business corporation, this paper suggests a human-centered approach to corporate law. Specifically, this paper asserts that corporate law should acknowledge employees as members of a business corporation, and directors should consider and maximize interest of corporate itself, i.e. the total interest of corporate members. And this paper suggests that we need procedural alternative which guarantees the participation and communication of all members of corporation including employees. Procedural democracy and participation of all members are essential elements of business corporation, because business corporation is a political institution where various interests of members are adjusted, and collective resolutions are made.
