주주대표소송에 대한 회사의 소송참가의 법적 성질

국문 초록

본 연구는 주주대표소송에 있어 회사의 소송참가를 규정하는 상법 제404조의 해석에 있어서 소송참가의 법적 성질에 관하여 논의하였다. 상법 제404조에서 규정하는 회사의 소송참가의 법적 성질에 대하여 학설은 공동소송참가, 공동소송적보조참가, 독립당사자참 가라는 견해로 나누어져 있다. 이에 대해 대법원은 제일은행과 관련된 2002년 판결에서 회사의 소송참가를 공동소송참가라고 판시하였으나 회사가 원고 측 소송참가의 경우만을 한정하고 있다. 따라서 구체적으로 주주대표소송을 둘러싼 상법상의 복잡한 법률관계를 살펴보고 회사가 원고 측 뿐만 아니라 피고 측 소송참가의 필요성 및 각 경우의 회사의 소송참가의 법적 성질을 살펴보았다.

영문 초록

In interpreting the provisions prescribed in Article 404 of the Commercial Code to the company's lawsuit to participate in this study in a shareholder derivative suit, the legal nature of participation in the case was discussed. To in Article 404 of the Commercial Code provisions on the legal nature of the company's participation in the proceedings of the doctrine of participation joinder, joinder secondary participation, independent parties participating in the opinion is divided. About it, the Supreme Court ruled participated associated with First Bank in 2002 to participate in the company's lawsuit joinder ruling is called, but the company has only limited participation of plaintiffs' lawsuit. Look at company shareholder representative litigation surrounding the Commercial Code specifically on the complex legal relationships the plaintiff side, as well as the need for participation of criminal defense litigation, and the company's participation in the legal nature of the proceedings in each case examined.
