일본 선박금융의 형태 및 특징과 선박금융 관련 법적 쟁점

국문 초록

선박금융(Ship Finance)은 이미 오랜 역사를 가지고 세계에서 이용되고 있는 금융기법의 하나이다. 또한 환거래, 파생상품거래, 프로젝트 금융 등 다른 금융거래와도 깊은 관련이 있다. 선박금융은 주로 해운사업자에 대한 대출인데, 해운사업자는 여러 종류가 있지만 융자를 해 주는 것은 선주사업자와 선주 겸 정기용선사업자가 중심이다. 변제기초자산은 해운사업으로부터의 수익인 점과 담보로 제공되는 물건 및 권리가 선박 자체 및 선박과 관련된 제반 권리인 점에 특징이 있다. 세상은 변화하고 있고 조선 및 해운업계도 변화되고 있는데, 바람직한 변화를 위해서 무엇이 반드시 필요한지 알 수는 없지만 자금조달 없이 변화를 가져오기는 어려울 것이다. 본고에서는 해운업계의 변화와 발전을 위해서 필수불가결한 자금을 둘러싼 선박금융이라는 용어 속에서 새로운 변화의 가능성이 잉태되기를 기대하며 선박금융에 관한 이슈를 일본의 선박금융을 중심으로 하여 ｢선박금융｣이란 무엇이며, 선박금융과 관련한 각종 위험에는 무엇이 있는지 등을 생각해보고 선박금융에서 나타나는 법적 쟁점 및 과제 등에 대해 살펴본다. 선박금융은 오래 된 전통적 금융거래의 하나이지만, 거래 구조가 복잡하고, 선박 특유의 위험과 외국 법률에 대응해야 할 필요성과 같이 실무상 주의해야 할 문제들이 복잡하게 얽혀 있다. 해사업계 상황이 악화되는 것은 환율과 해운시장, 더욱이 세계 경제가 침체되는 등 복합적인 요소가 복잡하게 얽혀 일어난다. 금융기관이 복합적인 요소를 재빨리 감지하여 선주의 실적 악화를 미연에 방지하고 이를 위한 처방전을 선주에게 제공하는 것이 중요하다. 선박금융이 원활하게 작동하기 위해서는 시장참여자들의 복합적인 노력과 역량이 필요하고 그러한 노력이 해사산업 및 그를 위한 해양금융발전을 위한 견실한 기반이 된다고 생각한다.

영문 초록

Ship Finance is one of the financial techniques already used in the world with a long history. It is also deeply related to other financial transactions such as exchange transactions, derivatives transactions, and project finance. Ship financing is mainly a basic form of loans to shipping companies, and there are many types of shipping companies, but the targets for loans are shipowners or shipowners and regular charterers. The reimbursement base asset is characterized by the fact that it is a profit from the shipping business and the goods and rights provided as collateral are all rights related to the ship or the ship itself. The world is changing and the shipbuilding and shipping industries are changing, and it will be difficult to bring about change without financing, although it is not known what is essential for desirable change. In this paper, I hope that the possibility of new changes will be conceived in the term ship finance, which is indispensable for change and development of the shipping industry, and I will look at legal issues and tasks related to ship finance, focusing on ship finance in Japan. Ship finance is one of the old traditional financial transactions, but the transaction structure is complicated, and problems to be careful about in practice, such as ship-specific risks and the need to respond to foreign laws, are complicated. The worsening situation in the maritime industry is caused by complicated factors such as the exchange rate, shipping market, and even the global economy. It is important for financial institutions to quickly detect complex factors to prevent the shipowner's performance from deteriorating and provide prescriptions to the shipowner. In order for ship finance to work smoothly, complex efforts and capabilities of market participants are required, and I think such efforts serve as a solid basis for the maritime industry and marine financial development for it.
